Parent Public Documents definition

Parent Public Documents means all publicly available documents and information filed by Parent since January 1, 2015 with any securities commission, stock exchange or similar regulatory authority;
Parent Public Documents has the meaning set forth in Section 4.04(a).
Parent Public Documents means all forms, reports, schedules, statements and other documents required to be filed by Parent since January 1, 2007 with all applicable Securities Regulatory Authorities or the TSX under applicable Laws;

Examples of Parent Public Documents in a sentence

  • Parent Public Documents at the time filed: (a) did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in the light of the circumstances under which they were made, not misleading, and (b) complied in all material respects with the requirements of applicable Securities Laws.

  • Parent has filed with all applicable Securities Authorities true and complete copies of the Parent Public Documents that Parent is required to file therewith.

  • As of the date hereof, there are no outstanding written comments from any Securities Authority with respect to any of the Parent Public Documents.

  • As of the date hereof, each contract, arrangement, commitment or understanding to which Parent, AcquisitionCo or any other Subsidiary of Parent is a party and which is a “material contract” (as such term is defined in Item 601(b)(10) of Regulation S-K of the SEC) (the “Parent Contracts”) have been filed as exhibits to the Parent Public Documents filed with the SEC through and including the date of this Agreement.

  • Parent has furnished or filed Parent Public Documents required to be furnished or filed with the applicable Securities Authorities since January 1, 2017.

  • Parent has filed (including, as applicable, on SEDAR) or furnished, as applicable, with the Securities Regulatory Authorities and all applicable self-regulatory authorities the Parent Public Documents.

  • Each of the Purchaser Entities is an entity duly organized and validly existing under the Laws of its jurisdiction of organization and has all requisite power and authority to own, lease and operate its properties and to carry on its respective business as disclosed in the Parent Public Documents.

  • As of their respective dates (or, if amended prior to the date hereof, as of the date of such amendment) the Parent Public Documents filed or furnished with the OSC did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements made therein, in light of the circumstances in which they were made, not misleading.

  • Except as disclosed in the Parent Public Documents or Parent Disclosure Letter, there are no actions, suits, inquiries, investigations or proceedings pending against Parent or any of its subsidiaries, or, to the knowledge of Parent, threatened against Parent or any of its subsidiaries before any Governmental Entity which, to the knowledge of Parent, would have a Material Adverse Effect or prevent or materially delay consummation of the transactions contemplated by this Agreement.

  • As of the date of this Agreement, there are no outstanding or unresolved comments received from the SEC or FCA staff with respect to the Parent Public Documents, other than any comment letters issued to the Parent in the course of routine review of the Parent’s periodic filings.


More Definitions of Parent Public Documents

Parent Public Documents means all forms, reports, schedules, statements and other documents filed or furnished by Parent on the System for Electronic Document Analysis and Retrieval or the SEC since January 1, 2011.

Related to Parent Public Documents

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Purchaser in the 24 months prior to the date hereof with the relevant Securities Regulators pursuant to the requirements of Securities Laws and filed on SEDAR at xxx.xxxxx.xxx;

  • Disclosure Documents is defined in Section 5.3.

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Parent SEC Documents has the meaning set forth in Section 4.6(a).

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Accessible Letter(s) means the correspondence used to communicate pertinent information regarding AT&T- 21STATE to the CLEC community and is (are) provided via posting to the AT&T CLEC Online website.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Company Financial Information As defined in Section 2(a)(ii).

  • Company Governing Documents means the Company Bylaws and the Company Certificate.

  • Required Financial Information means, with respect to each fiscal period or quarter of the Borrower, (a) the financial statements required to be delivered pursuant to Section 6.01(a) or (b) for such fiscal period or quarter of the Parent REIT, and (b) the Compliance Certificate required by Section 6.02(a) to be delivered with the financial statements described in clause (a) above.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Organic Documents with respect to any Person, its charter, certificate or articles of incorporation, bylaws, articles of organization, limited liability agreement, operating agreement, members agreement, shareholders agreement, partnership agreement, certificate of partnership, certificate of formation, voting trust agreement, or similar agreement or instrument governing the formation or operation of such Person.

  • Public Filings has the meaning set forth in Section 6.1(c).

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.

  • Required Financial Statements has the meaning assigned to such term in Section 5.04(2).

  • Offer Documents shall have the meaning set forth in Section 2.1(b).

  • Disclosure Document means any registration statement (including the Form 10) filed with the SEC by or on behalf of any Party or any member of its Group, and also includes any information statement (including the Information Statement), prospectus, offering memorandum, offering circular, periodic report or similar disclosure document, whether or not filed with the SEC or any other Governmental Authority, in each case that describes the Separation or the Distribution or the SpinCo Group or primarily relates to the transactions contemplated hereby.

  • Pricing Disclosure Package means any Issuer General Use Free Writing Prospectus issued at or prior to the Applicable Time, the Pricing Prospectus and the information included on Schedule 2-A hereto, all considered together.

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Material Non-Public Information means information which is (a) not publicly available, (b) material with respect to Holdings and its Subsidiaries or their respective securities for purposes of United States federal and state securities laws and (c) not of a type that would be publicly disclosed in connection with any issuance by Holdings or any of its Subsidiaries of debt or equity securities issued pursuant to a public offering, a Rule 144A offering or other private placement where assisted by a placement agent.
