Parent Public Filings shall have the meaning set forth in Section 6.1(i).

  • As long as Parent is required to consolidate the results of operations and financial position of Xxxx in its financial statements, Xxxx will continue to prepare the quarterly and annual financial reporting analysis and provide support for financial statement footnotes and other information included in the Parent Public Filings.

  • Prior to the release or filing thereof, Parent will provide Xxxx with a draft of any portion of a Parent Public Filing containing information relating to the Xxxx Group and will give Xxxx an opportunity to review such information and comment thereon; provided, that Parent will determine in its sole discretion the final form and content of all Parent Public Filings.

  • Xxxx will provide such information in a timely manner on the dates requested by Parent (which may be earlier than the dates on which Xxxx otherwise would be required hereunder to have such information available) to enable Parent to prepare, print and release all Parent Public Filings on such dates as Parent will determine, but in no event later than as required by applicable Law.

  • Xxxx also agrees to provide to Parent all other information that Parent reasonably requests in connection with any Parent Public Filings or that, in the judgment of Parent’s legal department, is required to be disclosed or incorporated by reference therein under any Law.

  • Tronox will provide such information in a timely manner on the dates requested by Parent (which may be earlier than the dates on which Tronox otherwise would be required hereunder to have such information available) to enable Parent to prepare, print and release all Parent Public Filings on such dates as Parent will determine but in no event later than as required by applicable law.

  • SpinCo will use its commercially reasonable efforts to cause the SpinCo Auditors to consent to any reference to them as experts in any Parent Public Filings required under any Law.

  • If and to the extent requested by Parent, the Company will diligently and promptly review all drafts of such Parent Public Filings and prepare in a diligent and timely fashion any portion of such Parent Public Filing pertaining to the Company.


More Definitions of Parent Public Filings

Parent Public Filings means all of Parent’s and Delaware Parent’s SEC filings made on its XXXXX system.
Parent Public Filings means and includes all of the filings by the Parent with the United States Securities and Exchange Commission under the United States Securities Act of 1933, as amended (the “33 Act”), and the United States Securities Exchange Act of 1934, as amended (the “34 Act”), for all periods from and after January 1, 2005, including, without limitation, all (a) registration statements on Form S-1 or other forms for registering securities under the 33 Act, (b) all Form 10KSB Annual Reports, Form 8-K Interim Report, Form 10-Q Quarterly Report, and all proxy statements on Form 14A and other filings under the 34 Act.
Parent Public Filings means the Parent’s filings on the SEDAR filing system.
Parent Public Filings means all reports filed by Parent with the Securities and Exchange Commission including but not limited to (i) Form 10 Q – Quarterly Report Pursuant to Section 13 or 15(d) of the Exchange Act for the quarterly period ended June 30, 2009, (ii) Form 10 Q – Quarterly Report Pursuant to Section 13 or 15(d) of the Exchange Act for the quarterly period ended March 31, 2009; (iii) Proxy Statement Pursuant to Section 14(a) of the Exchange Act, filed April 28, 2009, (iv) Form 10K Annual Report Pursuant to Section 13 or 15(d) of the Exchange Act for the fiscal year ended December 31, 2008; and (v) Form 10 Q – Quarterly Report Pursuant to Section 13 or 15(d) of the Exchange Act for the quarterly period ended September 30, 2008.

Related to Parent Public Filings

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.

  • Company Financial Information As defined in Section 2(a)(ii).

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Company Reports has the meaning set forth in Section 3.08(a).

  • Disclosure Documents is defined in Section 5.3.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • Company Disclosure Schedules means the disclosure schedules delivered by the Company to the Commitment Parties on the date of this Agreement.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.

  • Company Financial Statements has the meaning set forth in Section 3.6(a).

  • Parent Financial Statements has the meaning set forth in Section 4.6(a).

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Disclosure Schedules means the Disclosure Schedules of the Company delivered concurrently herewith.

  • Purchaser Financial Statements shall have the meaning specified in Section 4.8.1.

  • Parent SEC Reports has the meaning set forth in Section 4.5(a).

  • Other Filings has the meaning set forth in Section 6.8(a).

  • Company Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by the Company to Parent and Merger Subsidiary.

  • Parent Disclosure Letter means the disclosure letter delivered by Parent to the Company simultaneously with the execution of this Agreement.

  • Seller Financial Statements has the meaning set forth in Section 3.5(a).
