Parent Stock Option Plan definition

Parent Stock Option Plan means any equity incentive, stock option, stock bonus, stock award or stock purchase plan, program or arrangement, as amended to date, of Parent or any Parent Subsidiary, or any predecessor of any of the foregoing, including Parent's Stock Option Plan, effective as of January 1, 2004 and, if approved at Parent's 2006 annual meeting of its stockholders, Parent's 2006 Equity Incentive Plan (as such plan is described in Parent's proxy statement filed with the SEC on April 27, 2006).

Parent Stock Option Plan means Parent Stock Option Plan instituted May 2006;

Parent Stock Option Plan has the meaning set forth in Section 5.3(a).

• True and complete copies of all agreements and instruments relating to or issued under the Parent Stock Option Plan have been made available to Company and such agreements and instruments have not been amended, modified or supplemented, and there are no agreements to amend, modify or supplement such agreements or instruments in any case from the form made available to Company.

• The shares of Parent Common Stock issued under the Parent Stock Option Plan as amended and under all prior versions thereof, have either been registered under the Securities Act or were issued in transactions which qualified for exemptions under, either Section 4(2) of, or Rule 701 under, the Securities Act for stock issuances under compensatory benefit plans.

More Definitions of Parent Stock Option Plan

Parent Stock Option Plan means the 2021 Stock Incentive Plan of Parent dated June 3, 2021, including any stock incentive plan which replaces or supersedes such plan;
