Participating Amount definition

Participating Amount means such dollar amount as will bring CNET's aggregate purchases of the Company's equity securities, after its then current purchase, to an amount equal to 20% of all amounts paid or payable to CNET by the Company under the terms of this Agreement on or before the end of the calendar month which includes the Investment Date. CNET will execute the same purchase documentation as other investors in connection with each purchase. The Company will have no obligation to sell equity securities to CNET on an Investment Date unless the Company reasonably determines that such sale to CNET is in compliance with all applicable state and federal securities laws.
Participating Amount means the quotient (determined to the seventh -------------------- decimal place without rounding) obtained by dividing the excess of the Total TranSwitch Common Shares over the Preference Shares by the Total Alacrity Securities.
Participating Amount means an amount of cash per share equal to the quotient obtained by dividing (A) the Participating Consideration by (B) the Total Outstanding Shares.

More Definitions of Participating Amount

Participating Amount means for any period after December 31, 2020, one dollar ($1), for any period after December 31, 2021, two dollars ($2) and for any period after December 31, 2022, three dollars ($3). The Participating Amount is a singular determination and not a cumulative determination.

  • Maximum Revolving Amount At any date as of which same is to be determined, the amount by which (x) $3,500,000 exceeds (y) the sum of (i) all then undrawn amounts of letters of credit issued by the Bank for the account of the Borrower plus (ii) all amounts then drawn on any such letter of credit which at said date shall not have been reimbursed to the Bank by the Borrower.

  • Submitted Amount has the meaning set forth in Section 2.05(a)(v)(C)(1).

  • Maximum Offering Amount means have the meaning set forth in the recitals hereto.

  • Commitment Percentage is set forth in Schedule 1.1, as amended from time to time.
