Award Agreements evidencing Awards intended to qualify as Performance-Based Compensation shall contain such terms and conditions as may be necessary to meet the applicable provisions of Section 162(m) of the Code.
Awards that are intended to qualify as Performance-Based Compensation may not be adjusted upward.
