Post-Termination Services definition

Post-Termination Services means to (i) advise and consult with the Company’s executive management and the Board with respect to the Company’s (a) technical, medical or scientific issues and problems relating to the design, development, production, sale or marketing of any products, technologies or services then currently developed, under development, produced, sold or marketed by the Company the (“Company Business”) and/or (b) the future anticipated direction of the Company Business as the Board may request, from time to time during the Post-Termination Period. The Company agrees to allow such services to be performed on weekends and during evening hours and to cooperate with the Consultant to the extent the Consultant secures other consulting or employment engagements during the Post-Termination Period. For providing the Post-Termination Services during the Post-Termination Period, the Company will in each calendar month during the Post-Termination Period that the Consultant provides the Post-Termination Services, pay the Consultant an amount equal $187.50 per hour (the “Payment”) for each hour (or on a prorated basis for each partial hour) of such services and reimburse Consultant for expenses as provided in Section 2(b) of this Agreement. The Payment is the Consultant’s sole compensation for providing the Post-Termination Services to the Company during the Post-Termination Period; provided, however, nothing contained in this Section 5(c) shall limit or offset amounts paid or to be paid to Consultant under Section 2 of this Agreement Notwithstanding the provisions of this Section 5(c), the vesting of the stock restricted under the Restricted Stock Purchase Agreement will cease upon termination of this Agreement and will not continue during the Post-Termination Period, except as otherwise provided in the Restricted Stock Purchase Agreement. In the event of a breach of the Consultant’s obligations set form in this Section 5(c), the Company will have the remedies provided herein and such other remedies as may be available to it under law or contract or at equity.

Examples of Post-Termination Services in a sentence

  • As compensation for the Post-Termination Services, the Liquidator shall be entitled to any amounts remaining in the Reserve Account on December 31, 2023 (the “Payment Date”).

  • Operator acknowledges that following completion of all Post-Termination Services by Cantaloupe under this Agreement it shall have no further access to any Operator Data that has been inputted into the Services, and that Cantaloupe may destroy any such Operator Data as may have been stored by Cantaloupe at any time.

  • Executive will be compensated for the time he actually spends, if any, providing the requested Post-Termination Services, if any, at an hour rate of $288 (pro-rated for partial hours) (the “Consulting Fees”).

  • In the event there are any unresolved claims or liabilities asserted against the Company or its former subsidiaries as of the Termination Date, the Liquidator shall continue to provide the Post-Termination Services until such claims or liabilities have been resolved.

  • On or about November 8, 2011 Meri Harrell and Curtis Harrell (hereinafter the “Harrells”) entered into a Consumer Loan Note, Security Agreement and Disclosure Statement (the “Loan”) in the original principal amount of $66,219.42 and executed in favor of 21st Mortgage Corporation (“21st Mortgage”).

  • Executive and the Company agree that in furnishing any Post-Termination Services, Executive will be acting as an independent contractor and, accordingly Executive will have no authority to act on behalf of the Company (or any of its affiliates) or bind the Company (or any of its affiliates).

Related to Post-Termination Services

  • Termination Assistance Services has the meaning set forth in Section 18.12.

Supported employment is a service planned in partnership with public vocational assistance agencies and school districts and through Social Security Work Incentives when available.

  • Employment Termination means the effective date of: (i) Executive’s voluntary termination of employment with the Company with Good Reason, or (ii) the termination of Executive’s employment by the Company without Good Cause.

  • Transition Services Agreements has the meaning set forth in Section 7.01(h).

  • Consultancy Services means the Consultancy Services described in Schedule A;

  • Termination of Services means Participant’s Termination of Consultancy, Termination of Directorship or Termination of Employment, as applicable.

  • Consulting Services means services of an advisory and intellectual nature provided by consultants using their professional skills to study, design, organize, and manage projects, encompassing multiple activities and disciplines, including the crafting of sector policies and institutional reforms, specialist advice, legal advice and integrated solutions, change management and financial advisory services, planning and engineering studies, and architectural design services, supervision, social and environmental assessments, technical assistance, and programme implementation;

  • Hospice services means palliative and supportive care and other services provided by an interdisciplinary team under the direction of an identifiable hospice administration to terminally ill hospice patients and their families to meet the physical, nutritional, emotional, social, spiritual, and special needs experienced during the final stages of illness, dying, and bereavement, as defined in Minnesota Statutes, § 144A.75, subd. 8, and includes the set of services as determined by the Medicare program under §1861(dd) of the Social Security Act and defined in 42 CFR § 418.3.

  • Outplacement Services means professional outplacement services determined by the Employer to be suitable to the Executive’s position. The maximum amount that the Employer will pay for such services is set forth on the first page of the Agreement. The outplacement services shall be made available until the earlier of (i) such time as the aggregate cost to the Employer of the outplacement services reaches the maximum amount specified on the first page of the Agreement, and (iii) the date on which the Executive obtains another full-time job. The Employer will not pay the Executive cash in lieu of professional outplacement services.

  • Client Terminal means the MetaTrader program version 4 and/or 5, which is used by the Client in order to obtain information of financial markets (which content is defined by the Company) in real-time, to make technical analysis of the markets, make Transactions, place/modify/delete Orders, as well as to receive notices from the Company. The program can be downloaded on the Website free of charge.

  • Service & Term XOOM Energy Ohio, LLC (“XOOM” or “Company”) agrees to act as your exclusive natural gas supplier and will provide competitive retail natural gas service to you. The Term of this Agreement will begin on the next available meter read date after processing of the request by XOOM and your gas utility, and will continue for the Contract Term as set forth in the accompanying Contract Summary, which is incorporated into this Agreement. Acceptance into the Program:These terms and conditions are subject to your acceptance into the program by both XOOM and your local utility. You will be promptly notified if you are not accepted into the program. Switching fees may apply to you under your local utility’s tariff if you are accepted into the program by both XOOM and your local utility.

  • Implementation Services has the meaning set forth in Section 2.1.
