Postponement Notice definition
Postponement Notice. Means, with respect to any Trust or the related series of Certificates, an Officer’s Certificate of the Company signed by an officer of the Company (1) requesting that the Trustee temporarily postpone purchase of the related Equipment Notes to a date later than the Issuance Date of such series of Certificates, (2) identifying the amount of the purchase price of each such Equipment Note and the aggregate purchase price for all such Equipment Notes, (3) setting forth the reasons for such postponement and (4) with respect to each such Equipment Note, either (a) setting or resetting a new Transfer Date (which shall be on or prior to the applicable Cut-off Date) for payment by the Trustee of such purchase price and issuance of the related Equipment Note (subject to subsequent change from time to time in accordance with the relevant Note Purchase Agreement), or (b) indicating that such new Transfer Date (which shall be on or prior to the applicable Cut-off Date) will be set by subsequent written notice not less than one Business Day prior to such new Transfer Date (subject to subsequent change from time to time in accordance with the relevant Note Purchase Agreement).

Means an Officer's Certificate of the Company (1) requesting that the Trustee temporarily postpone purchase pursuant to a Note Purchase Agreement of certain of the Equipment Notes to a date later than the Issuance Date, (2) identifying the amount of the purchase price of each such Equipment Note and the aggregate purchase price for all such Equipment Notes, (3) setting forth the reasons for such postponement and (4) with respect to each such Equipment Note, either (a) setting or resetting a new Transfer Date (which shall be on or prior to the applicable Cut-off Date) for payment by the Trustee of such purchase price and issuance of the related Equipment Note, or (b) indicating that such new Transfer Date (which shall be on or prior to the applicable Cut-off Date) will be set by subsequent written notice not less than one Business Day prior to such new Transfer Date.

If the Holder delivers the Postponement Notice and the Company does not receive written notice from the Holder of the Holder’s chosen ▇▇▇ Measurement Date or if the Holder fails to select a date or selects a date that is subsequent to the End Date, the ▇▇▇ Measurement Date for purposes of this Section 3.3(d) shall be the End Date.
In the event such an APGL Director fails to provide a valid Postponement Notice, the Board meeting shall convene as scheduled, subject to there being a valid quorum as per the provisions of the Act.
If the Purchaser fails to comply with Section 5.14.1 and/or 5.14.2 by the Closing Date postponed as per the Seller's Postponement Notice, the Seller shall be entitled to rescind this Agreement with immediate effect.
In the event such an APGL Director provides the Postponement Notice and, thereafter is not present or has not nominated an alternate on his behalf, then the Board can proceed with the Board meeting and its agenda subject to there being a valid quorum as per the provisions of the Act.
Concurrently with the delivery of the Postponement Notice, Buyer shall deposit $25,000 in escrow as an additional ▇▇▇▇▇▇▇ money deposit with respect to such affected Location (the "Affected Location Additional Deposit"), which deposit shall be subject to the provisions of Article 6 hereof.

Postponement Notice means a certificate of Union signed by an officer of Union (i) requesting that the Pass Through Trustee execute and deliver the Participation Agreement but temporarily postpone payment of the purchase price of the Equipment Notes or ETCs to a date later than the Issuance Date, (ii) identifying the amount of the purchase price of each Equipment Note or ETC and the aggregate purchase price of all such Equipment Notes or ETCs, (iii) setting forth the reasons for such postponement and (iv) with respect to the Participation Agreement referred to in clause (i), either (A) setting or resetting a new Closing Date (which shall be on or prior to the Initial Cut-off Date) for payment by the Pass Through Trustee of such purchase price and issuance of the Equipment Note or ETC, or (B) indicating that such new Closing Date (which shall be on or prior to the Initial Cut-Off Date) will be set by subsequent written notice not less than one Business Day prior to such new Closing Date.
