Company Share Plans means, collectively, (i) the 2018 Share Incentive Plan of the Company, which replaced the Company’s 2010 Share Incentive Plan in its entirety, and (ii) the Post-IPO Share Incentive Plan of the Company.
Company Stock Plans has the meaning set forth in Section 3.02(b).
Approved Share Plan means any employee benefit plan which has been approved by the board of directors of the Company prior to or subsequent to the date hereof pursuant to which Ordinary Shares and standard options to purchase Ordinary Shares may be issued to any employee, officer, director or advisers for services provided to the Company in their capacity as such.
Company Equity Plans means (i) the Company’s 2014 Equity Incentive Plan as amended and restated from time to time, (ii) the Company’s 2004 Equity Incentive Plan, as amended and restated from time to time and (iii) the Inference Technologies Group Inc. 2018 Equity Incentive Plan, as amended and restated from time to time.
Parent Stock Plans has the meaning set forth in Section 4.5(a).
Parent Equity Plans means all employee and director equity incentive plans of Parent and agreements for equity awards in respect of Parent Common Stock granted under the inducement grant exception.
Company Equity Awards means the Company RSU Awards and the Company PSU Awards.
Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.
Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.
Company Stock Option Plans shall have the meaning set forth in Section 3.07(a).
Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.
Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.
Company Equity Plan means any management equity or stock option or ownership plan or any other management or employee benefit plan of the Company or any Subsidiary of the Company.
Company RSUs means any restricted stock units granted under any of the Company Equity Plans.
Company Option Plans means the Company 1994 Incentive Stock Plan, the Company 1995 Outside Director’s Stock Option Plan and the Company 2004 Incentive Stock Plan.
Option Plans has the meaning set forth in Section 2.6 below.
Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.
Employee Share Scheme means a scheme established by a company, whether by means of a trust or otherwise, for the purpose of offering 10 participation therein solely to employees and officers of the company or a subsidiary of the company, either—
Stock Plans has the meaning set forth in Section 3.1(c).
SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.
Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.
Parent Stock Plan has the meaning set forth in Section 6.2(a).
Sub-Plans means any sub-plan to the Plan that has been adopted by the Board or the Committee for the purpose of permitting the offering of Awards to employees of certain Designated Foreign Subsidiaries or otherwise outside the United States of America, with each such sub-plan designed to comply with local laws applicable to offerings in such foreign jurisdictions. Although any Sub-Plan may be designated a separate and independent plan from the Plan in order to comply with applicable local laws, the Absolute Share Limit and the other limits specified in Section 5(b) shall apply in the aggregate to the Plan and any Sub-Plan adopted hereunder.
Old Plans shall have the meaning set forth in Section 5.11(b).
Newco Common Stock means the common stock, par value $.01 per share, of Newco.
Company Stockholder Approval has the meaning set forth in Section 4.2(b).
