Production Sale Contracts definition

Production Sale Contracts means contracts now in effect, or hereafter entered into by Mortgagor, or entered into by Mortgagor's predecessors in interest, for the sale, purchase, exchange, gathering, transportation, treating or processing of Hydrocarbons produced from the lands described in Exhibit A.

Production Sale Contracts means, except to the extent that the same constitute Receivables, all contracts now or hereafter in effect, including, without limitation, any gas sales contracts, entered into by any of the Companies, or the Companies' predecessors in interest, for the production, sale, purchase, exchange or processing of Subject Minerals (as defined in the Mortgage), including - but not limited to - any of the foregoing contracts listed on SCHEDULE 1(a) and the Contract Rights related thereto.

Production Sale Contracts means contracts for the sale of Subject Hydrocarbons now in effect or hereafter entered into by Borrower with Lender's written consent.

Examples of Production Sale Contracts in a sentence

• During the term hereof, Borrower will not, and will not permit any of its Subsidiaries or any other Obligor to, change its name, identity, principal place of business or the office where it keeps its books and records concerning the Production Sale Contracts and the contract rights and accounts now existing or hereafter arising in connection therewith without notifying Lender in writing of any such change at least 30 days prior to the effective date of such change.

• Each of the Production Sale Contracts and each of the operating agreements governing any Lease described on Exhibit A attached hereto is free from any material credit, deduction, allowance, defense, dispute, setoff, or counterclaim (other than current charges provided for in such instruments but not yet due and payable) and there is no extension or indulgence with respect thereto.

Production Sale Contracts means contracts now in effect, or hereafter entered into by the Trustor, or entered into by the Trustor's predecessors in interest, for the sale, purchase, exchange, gathering, transportation, treating or processing of Hydrocarbons produced from the lands described in Exhibit A attached hereto and made a part hereof.

Production Sale Contracts means contracts now in effect, or hereafter entered into by the Mortgagor, or entered into by the Mortgagor’s predecessors in interest to which the Mortgagor is or may be legally bound or to which the lands described in Exhibit A are subject, for the sale, purchase, exchange, gathering, transportation, treating or processing of Hydrocarbons produced from the lands described in Exhibit A attached hereto and made a part hereof.

"Operating Equipment" shall mean all surface or subsurface machinery, goods, equipment, fixtures, inventory, facilities, supplies or other property of whatsoever kind or nature (excluding drilling rigs, trucks, automotive equipment or other property taken to the premises to drill a well or for other similar temporary uses) now or hereafter located on or under any of the lands described in Exhibit A which are useful for the production, gathering, treatment, processing, storage or transportation of Hydrocarbons (together with all accessions, additions and attachments to any thereof), including, but not by way of limitation, all oil xxxxx, gas xxxxx, water xxxxx, injection xxxxx, casing, tubing, tubular goods, rods, pumping units and engines, christmas trees, platforms, derricks, separators, compressors, gun barrels, flow lines, tanks, gas systems (for gathering, treating and compression), pipelines (including gathering lines, laterals and trunk lines), chemicals, solutions, water systems (for treating, disposal and injection), power plants, poles, lines, transformers, starters and controllers, machine shops, tools, storage yards and equipment stored therein, buildings and camps, telegraph, telephone and other communication systems, roads, loading docks, loading racks and shipping facilities. F. "Mortgaged Property" shall mean the properties, rights and interests hereinafter described and defined as the Mortgaged Property. G. "Indebtedness", "Note" and "Notes" shall have the respective meanings set forth in Section 1.2 hereof. Unless otherwise defined herein or the context otherwise requires, terms used in this Mortgage, including its preamble and recitals, have the meanings provided in the Credit Agreement.

Production Sale Contracts means contracts, if any, now in effect, or hereafter entered into by Mortgagor, or entered into by Mortgagor's predecessors in interest, for the sale, purchase, exchange, supply, handling, processing, refining, beneficiation, marketing and/or transportation of salt or Other Minerals (i) produced from all or any part of the Real Estate or from any other lands any production from which, or profits or proceeds from such production, is attributable to any interest in the Real Estate or (ii) produced from other lands not encumbered by this Mortgage.
