Project SOW definition

Project SOW has the meaning set forth in the MAA.
Project SOW shall have the meaning given in Appendix E-8.
Project SOW means a written order for the performance of Services by Hospira for each Product, substantially in the form attached hereto as Exhibit 2.5, signed by duly authorized representatives from both Parties and referencing this Master Agreement.

Examples of Project SOW in a sentence

  • The Division will reinspect the Project site(s) until the Division determines all work described in the Project SOW is complete and acceptable.

  • The Division shall inspect the Project site(s) for completeness and acceptance against the Project SOW, and if the Division determines necessary, develop a list of incomplete and unacceptable work and conditions to be corrected by the Contractor.

  • The Contractor warrants (represents) that their work will be conducted in accordance with the standards described in the Project SOW (i.e., the SOW Detailed Drawings and Specifications) and that the Contractor’s work be free of defects.

  • Upon completion of the work described in the Project SOW, the Contractor shall request a Project Completion Inspection be performed by the Division.

  • Failure however to formally amend this Exhibit has no bearing on the agreed Joint Project SOW becoming part of the Program and part of this Agreement.

  • Any obligation of Micron to pay Intermolecular a [***]Fee identified in a Project SOW, or a portion thereof (in the case of multiple Triggers), shall be conditioned upon Micron's satisfaction of a Production Threshold once Intermolecular has provided Micron with the Deliverables satisfying one or more Triggers.

  • Any obligation of Micron to pay Intermolecular a [***]Fee identified in a Project SOW shall be conditioned upon Intermolecular's satisfaction of certain technical criteria for Deliverables (the “Trigger(s)”) set forth in such Project SOW.

  • Intermolecular agrees that it will not unreasonably delay or withhold its acceptance of any Project SOW Micron proposes for Category A.

  • Notwithstanding anything to the contrary in the Agreement, this Development Program or any Project SOW, in no event shall Micron ever have an obligation to pay more than a single [***]Fee to Intermolecular in connection with any Project SOW, regardless of Micron's use of related Deliverables, Technology and Intellectual Property in any manner.

  • Contractor agrees that any delay or failure by Contractor to timely and acceptably perform its obligations in accordance with the Project SOW will interfere with the proper and timely delivery of the required Deliverables, to the loss and damage of the State.


More Definitions of Project SOW

Project SOW means the Form Project SOW executed in connection with each Project and reflecting the particular attributes of such Project.
Project SOW means a project statement of work for Deliverables concluded under this Agreement in the form as attached hereto as Annexure D which will be attached hereto from time to time, must be reduced to writing and must be signed by the Parties authorised representatives;
Project SOW has the meaning set forth in Section 1.4(a).

Related to Project SOW

  • Project Scope means the description or activity of work to be accomplished on the project.

  • Project Schedule means a document that, with respect to each Phase of the Project, identifies, coordinates and integrates the anticipated design and construction schedules, the Contracting Authority’s and Owner's responsibilities, government authority reviews and other activities as are necessary for the timely completion of the Work.

  • Project Plan means the document to be developed by the Contractor and approved by WTL, based on the requirements of the Contract and the Preliminary Project Plan included in the Contractor’s bid. For the sake of clarity, the Agreed and Finalised Project Plan” refers to the version of the Project Plan submitted by the contractor after receiving the letter of Award and the same approved by WTL. The project plan may be changed/ modified during the course of the project. Should the Project Plan conflict with the provisions of the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.

  • The Project Plan means the document to be developed by the Supplier and approved by the Purchaser, pursuant to GCC Clause 19, based on the requirements of the Contract and the Preliminary Project Plan included in the Supplier’s bid. The “Agreed and Finalized Project Plan” is the version of the Project Plan approved by the Purchaser, in accordance with GCC Clause 19.2. Should the Project Plan conflict with the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.

  • Project Work means the work required to complete the Project.

  • Project Plans mean the plans for the Project that are attached to this Agreement as Exhibit “B.”

  • Project Start Date means the first Milestone Start Date specified in Schedule B;

  • Statement of Work means the description of activities performed in completing the Project, as specified in the Contract and as may be amended.

  • Project Specific IPRs means: (a) IPRs in the Services provided by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of the Contract and all updates and amendments of these items created during the Contract Period; and/or (b) IPRs arising as a result of the provision of the Services by the Supplier (or by a third party on behalf of the Supplier) under the Contract, [including the rights in or to any database developed and supplied by the Supplier to the Customer in accordance with the terms of this Contract;

  • Project Services means architectural, engineering services, land surveying, construction management at-risk services, ancillary technical services or other construction-related services determined by the board to be required by the project.

  • Project Deliverables means the Project deliverables set out in Schedule 2. Project Material means all the material including but not limited to documents, computer software, and data stored by any means which is created by the Fellow in the course of undertaking the Project.

  • Project Water means water made available for delivery to the contractors by project conservation facilities and the transportation facilities included in the System.

  • Scope of Work means the description of Services and Deliverables specified in the Contract and as may be amended.

  • Development Work means any work carried out in relation to the physical construction of a mine;

  • Work Order means an individually negotiated document that is executed by both Parties and which authorizes a Project, if any, in an indefinite quantity Contract.

  • Project IPR means all Intellectual Property Rights that arise or are obtained or developed by either party, or by a contractor on behalf of either party, in respect of the Deliverables in the course of or in connection with the Project;

  • Project Completion means the date, as determined by the Division after consultation with the Recipient, that operation of the Project is initiated or is capable of being initiated, whichever comes first.

  • Project Completion Schedule means the progressive Project Milestones set forth in Schedule-J for completion of the Project Highway on or before the Scheduled Completion Date;

  • Project Implementation Unit or “PIU” means the unit referred to in Section I.A.1 of Schedule 2 to this Agreement.

  • Design-build team means an entity that consists of:

  • Project Site(s) means the place(s) specified in the SCC for the supply and installation of the System.

  • Completion of work means completion of the entire contracted work. Exhaustion of quantity of any particular item mentioned in the bid document shall not imply completion of work or any component thereof.

  • Project Staff means the personnel of Contractor and Subcontractors who provide the Work.

  • Design Development Documents means the Drawings, Specifications and other documents prepared by the Trade Contractor that establish and describe the size and character of the Trade Contractor Work as to architectural, civil, structural, mechanical and electrical systems, graphics and signage, and other elements, and which include typical construction details, equipment layouts and specifications that identify major materials and systems.

  • Development Schedule shall have the meaning set forth in Section 1.1.

  • Work crew means a program of partial confinement
