Purchased Product Records definition

Purchased Product Records means all books and records to the extent relating to the Product Business (other than the Purchased Regulatory Documentation) to the extent owned, maintained and in the possession or Control of Sellers or any of their respective Affiliates, but excluding, in all cases, the Excluded Items.
Purchased Product Records means all books and records (including records of call center activity) primarily relating to the Product Business to the extent owned, maintained and in the possession and custody of Seller or any of its Subsidiaries and reasonably necessary or used to monitor the collection or payment of royalties with respect to the Product Business, maintain the Purchased Intellectual Property or Purchased Regulatory Approvals, prosecute and/or Manufacture, Develop and Exploit the Product in the Territory (to the extent Seller or any of its Subsidiaries has the right to do so), but excluding, in all cases, the Excluded Items and any Intellectual Property included therein.
Purchased Product Records means all books and records (including records of call center activity) relating exclusively to the Product Business or related to the Authorized Generic Agreement (including all forecasts, data and other information provided or exchanged pursuant to the terms thereof) (other than the Purchased Regulatory Documentation and Purchased Product Promotional Materials) to the extent (a) actually used by Seller or any of its Affiliates in the Exploitation of the Product or the Authorized Generic Product in the Territory or (b) owned, maintained and in the possession or Control of Seller or any of its Affiliates and reasonably necessary or used to Exploit the Product or the Authorized Generic Product in the Territory as Exploited by or on behalf of Seller or any of its Affiliates as of the Closing Date, but excluding, in all cases, the Excluded Items and any copyrights or trademarks included therein.

Examples of Purchased Product Records in a sentence

  • True and correct copies of all material Purchased Product Records have been made available to Buyer.

  • The Purchased Product Records have been maintained in accordance with all applicable Laws in all material respects, and such Purchased Product Records are complete and accurate in all material respects.

More Definitions of Purchased Product Records

Purchased Product Records means all books and records relating exclusively or primarily to the Manufacture of any Product for Exploitation in the applicable Field and in the applicable Territory or the Product Business (other than the Purchased Regulatory Documentation and Purchased Product Promotional Materials), in such form as maintained by the Divesting Entities, to the extent (a) owned and in the possession or Control of the Divesting Entities and (b) necessary to Exploit (but not Manufacture) the Products as Exploited by the Divesting Entities as of the Closing Date, but excluding, in all cases, the Excluded Assets and all intellectual property rights of any Third Party contained or depicted therein.
Purchased Product Records means, other than Purchased Regulatory Documentation, all (a) books and records with respect to the Manufacture of the Products (but excluding any such books and records that are required by Law to be maintained by the manufacturer of the Product),(b) customer lists with respect to the Products as of the Closing Date, (c) books or records (including all human resources, personnel records and any other employee books and records) exclusively related to the Transferred Employees, (d) promotion, media and marketing materials (including training documents and claim documentation, and all content Controlled or owned by Seller or any of its Affiliates made available through any Purchased Domain Names), and (e) books and records that document Purchased Know-How, in each case ((a)-(e)), that are exclusively related to the Product Business, used by Seller or any of its Affiliates in the Product Business, and owned and maintained by, and in the possession or under the Control of, Seller or any of its Affiliates as of the Closing Date and in the format maintained by Seller or its applicable Affiliates (but excluding any Excluded Communications, and it being further understood and agreed that a transfer of Purchased Product Records under Section 2.1.1(d) does not include an assignment of any Intellectual Property Rights in such Purchased Product Records (but without affecting any implied rights)).
Purchased Product Records means all books and records (including records of call center activity) relating primarily to the Product Business or related to the AG Agreement (including all forecasts, data and other information provided or exchanged pursuant to the terms thereof) (other than the Purchased Regulatory Documentation and Purchased Product Promotional Materials) to the extent (a) actually used by Seller or any of its Affiliates in the Exploitation of the Product or the Authorized Generic Product in the Territory or (b) owned, maintained and in the possession or Control of Seller or any of its Affiliates and reasonably necessary or used to Exploit the Product or the Authorized Generic Product in the Territory as Exploited by or on behalf of Seller or any of its Affiliates as of the Closing Date, but excluding, in all cases, the Excluded Items and any copyrights or trademarks included therein.

Purchased Product Records means originals of all Product Records owned or Controlled, or purported to be Controlled, by a member of the Seller Group to the extent primarily related to a Product, whether or not in the Territory, or the Product Business, including those stored by a member of the Seller Group in Austria, Ireland or other locations, including all Lab Notebooks.

Related to Purchased Product Records

  • Seller Products means all products and services that are being manufactured or performed by Seller at any time, other than Logic Business Products that are being manufactured or performed by Seller as of the Closing Date.

  • Product Inventory means all inventory of the Product owned by Seller or its Affiliates as of the Closing, including raw materials, work-in-process, bulk form drug and finished Product.

  • Product Data are illustrations, standard schedules, performance charts, instructions, brochures, diagrams, and other information furnished by the Contractor to illustrate materials or equipment for some portion of the Work.

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Finished Products means any one or more of the following petroleum oils, or a mixture or combination of these oils, to be used without further processing except blending by mechanical means:

  • Client Records has the meaning set forth in Section 3.14.

  • Product Labeling means, with respect to a Licensed Product in a country or other jurisdiction in the Territory, (a) the Regulatory Authority‑approved full prescribing information for such Licensed Product for such country or other jurisdiction, including any required patient information, and (b) all labels and other written, printed, or graphic matter upon a container, wrapper, or any package insert utilized with or for such Licensed Product in such country or other jurisdiction.

  • Product Line means a group of related products manufactured by a single company, or offered by a company in their usual course of business.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • API means the American Petroleum Institute.

  • Investigational Product means the Study Drug identified above and the control material, as further detailed in the Protocol;

  • Product Manufacturer means the entity that assembles the component parts to manufacture the final Product;

  • Student Records Means both of the following: (1) Any information that directly relates to a student that is maintained by LEA and (2) any information acquired directly from the student through the use of instructional software or applications assigned to the student by a teacher or other LEA employee. For the purposes of this Agreement, Student Records shall be the same as Educational Records, and Covered Information, all of which are deemed Student Data for the purposes of this Agreement.   • Purchased Assets has the meaning set forth in Section 2.1.

  • Regulatory Materials means regulatory applications, submissions, notifications, registrations, Marketing Authorizations or other written materials, correspondence, submissions made to or with a Regulatory Authority that are necessary or reasonably desirable in order to Develop, Manufacture or Commercialize the Licensed Products in the Field in a particular country.

  • Buyer Data means all data, records, files, information or content, including text, sound, video, images and software, that is (a) input or uploaded by Buyer or its Users to or collected, received, transmitted, processed, or stored by Buyer or its Users using the Software or SaaS Service in connection with this Agreement, or (b) derived from (a). Buyer Data is Confidential Information of Buyer.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Seller IP means (a) all Intellectual Property Rights in or pertaining to the Seller Products or methods or processes used or incorporated in the Seller Products, and (b) all other Intellectual Property Rights owned by or exclusively licensed to the Seller.
