Purchaser Properties definition

Purchaser Properties has the meaning ascribed thereto in Section 3.2(v)(i);
Purchaser Properties has the meaning set out in Section 3.2(18)(a).
Purchaser Properties means the real property described on SCHEDULE 1.01(J) hereof in which the Purchaser or a Purchaser Subsidiary owns a direct or indirect fee simple or leasehold interest, together with the Purchaser's or Purchaser Subsidiaries' rights in and to all buildings and other structures, facilities or improvements currently or hereafter located thereon, all fixtures, systems, equipment and items of personal property attached or appurtenant thereto and all easements, licenses, rights and appurtenances relating to the foregoing.

Examples of Purchaser Properties in a sentence

  • None of the Purchaser Properties or any other material property or asset of the Purchaser or any of its subsidiaries has been taken or expropriated by any Governmental Authority nor has any notice or proceeding in respect thereof been given or commenced nor, to the knowledge of the Purchaser, is there any intent or proposal to give any such notice or to commence any such proceeding.

  • To the knowledge of the Purchaser, none of the areas covered by the Purchaser Properties (including any construction, remains or similar elements located on them) have been declared as a culture heritage site by any Governmental Authority.

  • No dispute between the Purchaser or any of its subsidiaries and any non-governmental organization, community or community group exists or, to the knowledge of the Purchaser, is threatened or imminent with respect to any of the Purchaser Properties or operations.

  • Purchaser has not generated, manufactured, refined, transported, treated, stored, handled, disposed, transferred, produced, or processed any Hazardous Material or any solid waste on, under or about the Purchaser Properties.

  • Purchaser has no knowledge of the Release or threat of Release of any Hazardous Material at the Purchaser Properties.

  • There are no claims, investigations or inquiries pending against the Purchaser or any of its subsidiaries (or naming the Purchaser or any of its subsidiaries as a potentially responsible party) based on material non-compliance with any applicable health and safety Laws at any of the operations relating to the Purchaser Properties.

  • The Purchaser's machinery, equipment and other tangibles are in good operating condition and repair, ordinary wear and tear excepted, and are free of any material defects, and are located at the Purchaser Properties.

  • Purchaser has not received notice under the citizen suit provision of any Environmental Law in connection with the Purchaser Properties or any facilities or operations thereon.

  • The Attractions Purchaser has made available to the Company schedules of all material insurance policies (including title insurance policies) and all material fidelity bonds or other material insurance service contracts in the Attractions Purchaser’s possession providing coverage for all Purchaser Properties (the “Attractions Purchaser Insurance Policies”).

  • Other than the Purchaser Properties and the Purchaser Mineral Rights set out in the Purchaser Public Disclosure Record, neither the Purchaser’s nor its material subsidiaries’, owns or has any interest in any material real property or any material mineral interests and rights.


More Definitions of Purchaser Properties

Purchaser Properties means the interests of Purchaser and of the Purchaser Subsidiaries in all material properties of Purchaser, including those described in Schedule "C" hereto;

Purchaser Properties means (i) real estate owned or leased by Purchaser and the Purchaser Subsidiaries and used as a banking related facility, (ii) other real estate owned by Purchaser or the Purchaser Subsidiaries as defined by any federal or state financial institution regulatory agency with regulatory authority for Purchaser and the Purchaser Subsidiaries, and (iii) real estate owned or leased by a partnership or joint venture in which Purchaser or a Purchaser Subsidiary has an ownership interest:
