Purchaser Public Disclosure Record definition

Purchaser Public Disclosure Record means all documents filed by or on behalf of the Purchaser on SEDAR since January 1, 2020 and prior to the date hereof that are publicly available on the date hereof;

Purchaser Public Disclosure Record means all documents and information filed by the Purchaser on and available at xxx.xxxxx.xxx.

Purchaser Public Disclosure Record means all documents and instruments required to be filed or furnished by it under Securities Laws (including “documents affecting the rights of securityholders” and “material contracts” required to be filed by Part 12 of National Instrument 51-102 – Continuous Disclosure Obligations) filed by or on behalf of the Purchaser on SEDAR or XXXXX from January 1, 2018, and prior to the date of this Agreement.

Examples of Purchaser Public Disclosure Record in a sentence

• Except as set forth in the Purchaser Public Disclosure Record, the Purchaser is not party to any shareholder, pooling, voting trust or other similar agreement relating to the issued and outstanding shares in the capital of the Purchaser or its subsidiaries.

• There are no outstanding or unresolved comments in comments letters from any securities commission or similar regulatory authority with respect to any of the Purchaser Public Disclosure Record and, to the knowledge of the Purchaser, neither the Purchaser nor any of the Purchaser Public Disclosure Record is subject of an ongoing audit, review, comment or investigation by any securities commission or similar regulatory authority or the TSX.

• The documents and information comprising the Purchaser Public Disclosure Record, as at the respective dates they were filed, were in compliance in all material respects with applicable Securities Laws, and, where applicable, the rules and policies of the TSX and did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.

More Definitions of Purchaser Public Disclosure Record

Purchaser Public Disclosure Record has the meaning ascribed thereto in Section (9)(a) of Schedule “D”.

Purchaser Public Disclosure Record means all documents and information filed by the Purchaser under applicable Securities Laws on EXXXX during the two years prior to the date hereof;

Purchaser Public Disclosure Record means all documents and information required to be filed by Purchaser under applicable Securities Laws on the System for Electronic Document Analysis Retrieval (SEDAR) and XXXXX, during the three years prior to the date hereof;

Purchaser Public Disclosure Record means (a) each of the following documents, in the form they were filed with the SEC and including any amendments thereto filed with the SEC: (i) Purchaser’s Annual Report on Form 10-K for the fiscal year ended December 31, 2022 and each Annual Report on Form 10-K filed after the date of this Agreement but before the Closing Date; (ii) Purchaser’s quarterly report on Form 10-Q for the quarter ended March 31, 2023 and June 30, 2023 and each Purchaser’s quarterly report on Form 10-Q filed after the date of this Agreement but before the Closing Date; (iii) Purchaser’s current reports on Form 8-K (excluding any current reports or portions thereof that are furnished, and not filed, pursuant to Item 2.02 or Item 7.01 of Form 8-K, and any related exhibits) filed with the SEC after December 31, 2022 (including such reports filed by Purchaser after the date of this Agreement but before the Closing Date); (iv) Purchaser’s proxy statement on Schedule 14A filed with the SEC on June 22, 2023 and (b) all documents and instruments filed by Purchaser with the Canadian Securities Regulatory Authorities, including documents available on SEDAR+ from January 1, 2021.

Purchaser Public Disclosure Record means all documents filed by the Purchaser on SEDAR since November 30, 2014.

Purchaser Public Disclosure Record means all documents or information filed by the Purchaser under its SEDAR profile;

Purchaser Public Disclosure Record means all prospectuses, management information circulars, news releases, reports, schedules, forms and other documents filed by the Purchaser on SEDAR since June 6, 2019.
