Purchaser Stock Consideration definition

Purchaser Stock Consideration means the number of shares of Purchaser Common Stock or Sorrento Common Stock, as applicable, equal to the quotient obtained by dividing (a) the Estimated Purchase Price by (b) the applicable Per Share Price, rounded down to the nearest whole share.
Purchaser Stock Consideration shall have the meaning set forth in Section 2.2(b).
Purchaser Stock Consideration means the shares of Purchaser Series A-1 Preferred Stock and Purchaser Common Stock to be issued by the Purchaser to the Securityholders under this Agreement.
