Purchaser Common Stock Price definition

Purchaser Common Stock Price means the average closing price of Purchaser’s Common Stock on the New York Stock Exchange during the 10 calendar day trading period ending on the date of the Merger I Effective Time.
Purchaser Common Stock Price means an amount equal to $1.30 per share; provided, that in the event that any equity securities are issued or issuable by Purchaser (or its successor) after the Closing with respect to shares of Purchaser Common Stock (whether by way of any equity dividend, equity split or reverse equity split or in exchange for or upon conversion of such shares or otherwise in connection with a combination of shares, recapitalization, merger, consolidation or other corporation reorganization), the Purchaser Common Stock Price thereafter will be equitably adjusted for any such events are reasonably determined in good faith by Purchaser.
Purchaser Common Stock Price means the mathematical average, calculated for the ten trading-day period ending on the second trading day preceding the Closing Date, of the volume-weighted average price ("VWAP") of a share of Purchaser Common Stock for each trading day during such period as displayed under the heading "Bloomberg VWAP" on the Bloomberg Page for Purchaser (or its equivalent successor page if such page is not available). If the Bloomberg Page or the Bloomberg VWAP is not available for a trading day, "VWAP" shall mean the volume-weighted average price of a share of Purchaser Common Stock for such trading day, as determined by a nationally recognized investment banking firm retained by Purchaser based on available trading information for shares of Purchaser Common Stock.
