R&D Fees definition

R&D Fees means Key Individual Fees and any fees payable for Additional Services. 1.19. “R&D Services” shall mean Additional Services and Key Individual Services. 1.20. “Term” shall have the meaning set forth in Section 5 below. 2.

Examples of R&D Fees in a sentence

  • The RD Fees payable pursuant hereto shall be payable within five (5) business days following the date of the Registration Default or the monthly anniversary thereof, as the case may be.

  • Notwithstanding anything to the contrary contained herein, RD Fees shall not be payable under this Section 6(g) for more than one Registration Default occurring or existing at any one time.

  • Notwithstanding anything to the contrary in this Agreement, this provision shall not apply to or otherwise excuse the failure to pay any uncontested R&D Fees or Costs due under this Agreement when due.

  • All R&D Fees and Costs shall be due within thirty (30) days of receipt of an invoice therefor.

  • The payment of R&D Fees shall not be contingent on the payer’s satisfaction as to the results of any R&D Services.

  • In the event such audit reveals any inaccuracies in the R&D Fees and Costs reported by the Crown Entities, the parties shall take action promptly to correct such inaccuracies, including, without limitation, the payment or refund, as the case may be, of R&D Fees and Costs to the extent that the amount actually paid by Constar, Inc.

  • The royalties, milestones, Quarterly R&D Fees and other amounts payable by Roche to PTC pursuant to this Agreement (“Payments”) shall not be reduced on account of any taxes unless required by applicable Law.

  • Roche shall bear all expenses of the Research Program, including without limitation the payment to PTC of Quarterly R&D Fees as provided in Section 11.2.

  • If Roche makes a written election pursuant to Section 7.15(ii) within the Election Period, then the Quarterly R&D Fees with respect to Research Program activities conducted by PTC after the effective date of the Change of Control shall be adjusted accordingly to reflect the change in activities.

  • No such costs will be included in any budgets under this Agreement or Annual R&D Fees below.

Related to R&D Fees

  • Front End Fees means fees and expenses paid by any party for any services rendered to organize the Company and to acquire assets for the Company, including Organization and Offering Expenses, Acquisition Fees, Acquisition Expenses, and any other similar fees, however designated by the Board.

  • Tuition and fees means undergraduate tuition and services

  • L/C Fees has the meaning set forth in Section 3.4(c).

  • Annual Fees means the annual fees charged by the Trustee for services provided as the trustee and paying agent under the Indenture.

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • School Fees means the money payable by the Parent/s to the School in connection with a Student’s education, excluding any Enrolment Fee, Deposit or Additional Fees.

  • Monthly Fees means, collectively, [INSERT FOR HFS: the Monthly Food and Beverage Fee,] the Monthly Program Fee and the Monthly Royalty Fee, each of which is set forth in the Addendum. [INSERT FOR HFS: “Monthly Food and Beverage Fee” means the fee we require from you in Subsection 8.2, which is set forth in the Addendum.]

  • Tuition Fees means a sum specified in the Offer Letter, payable by the Student to cover tuition, access to College facilities, enrolment procedures and orientation meetings, use of Information Technology facilities, exam sitting and a Kaplan award on successful completion of the Programme; and

  • License Fees means all non-refundable fees payable by Licensee to OT with respect to the granting of Software Licenses; “License Model” means the description of the conditions, limitations and restrictions associated with the Software License which govern the use of the Software, as set out in the applicable License Model Schedule;

  • Fees means all amounts payable pursuant to, or referred to in, Section 4.1.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • Tax Fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • Admin Fees means the costs incurred by the Authority in dealing with MI Failures calculated in accordance with the tariff of administration charges published by the Authority;

  • Upfront Fees means, with respect to any Receivable, the sum of any fees charged by Holdings or the Receivables Account Bank, as the case may be, to a Receivables Obligor in connection with the disbursement of a loan, as set forth in the Receivables Agreement related to such Receivable, which are deducted from the initial amount disbursed to such Receivables Obligor, including the “Origination Fee” set forth on the applicable Receivable Agreement.

  • Unused Fees has the meaning assigned to such term in the Lender Fee Letter.

  • Expense Fees As to each Mortgage Loan, the sum of the Servicing Fee and the Trustee Fee.

  • Development Fees means fees imposed to offset capital costs of providing public infrastructure, public safety or other public services to a development and authorized pursuant to A.R.S. Section 9-463.05, A.R.S. Section 11-1102 or A.R.S. Title 48 regardless of the jurisdiction to which the fees are paid.

  • Support Fees means the fees, if any, payable by the State for Maintenance and Support Services as set forth in the Maintenance and Support Schedule.

  • Costs and fees means all reasonable pre-award expenses of the arbitration, including the arbitrators' fees, administrative fees, travel expenses, out-of-pocket expenses such as copying and telephone, court costs, witness fees and attorney's fees. Upon the request of a party, the arbitrators' award shall include findings of fact and conclusion of law. The arbitrators shall provide copies of such award to the parties. Any award may be entered by the prevailing party in any court of competent jurisdiction.

  • Processing Fees means all routine, generally applicable City-wide fees required by the City for processing applications and permits including, but not limited to, fees for land use applications, building applications, building permits, and certificates of occupancy.

  • Program Costs means all necessary and incidental costs of providing program services.

  • Agent's Fees shall have the meaning assigned to such term in Section 3.5(c).

  • Facility Fees has the meaning provided in Section 2.11(a).

  • Reimbursement Amounts As defined in Section 3.22.

  • Maintenance Fees means the non-refundable fees payable annually by Licensee to OT for Support Services;

  • Ancillary Fees With respect to any Serviced Loan, any and all demand fees, beneficiary statement charges, fees for insufficient or returned checks and other usual and customary charges and fees (other than Modification Fees, Consent Fees, Penalty Charges, Assumption Fees, assumption application fees and defeasance fees) actually received from the related Mortgagor.
