Realty Use Rights definition

Realty Use Rights has the meaning set forth in Section 4.7(b).

S.5, as the same may be amended, re-enacted or replaced from time to time; "Significant Transactions" has the meaning ascribed thereto in Section 6.3(a)(i); "Software" has the meaning ascribed thereto in Section 4.20; "Subsidiary" shall mean any Person of which the Company (either alone or through or together with any other Subsidiary) owns, directly or indirectly, 50% or more of the capital stock or other equity interest, the holders of which are generally entitled to vote for the election of the board of directors or other governing body of such Person; "THL Voting Agreement" has the meaning ascribed thereto in the recitals; "Trade Secrets" has the meaning ascribed thereto in Section 4.20; "Transaction Documents" has the meaning ascribed thereto in Section 7.8; "Transaction Term Sheet" means the term sheet attached hereto as Exhibit B. "TSE" means the Toronto Stock Exchange; "Updates" has the meaning ascribed thereto in Section 6.1(n); "Voting Agreement" has the meaning ascribed thereto in the recitals; "Voting Trust Agreement" has the meaning ascribed thereto in the recitals; "Warrant Agreement" has the meaning ascribed thereto in the recitals; "Writedown" has the meaning ascribed thereto in Section 6.1(a). 2.
Realty Use Rights means all rights arising under any of the Realty Use Rights Agreements.

Examples of Realty Use Rights in a sentence

  • Gold Xxxx has furnished Southern States with copies of all material written Realty Use Rights which it has, all of which are identified on Schedule 6.6.4.

  • The Company has furnished or made available to Purchaser copies (or summaries thereof) of all Realty Use Rights.

  • Material Contracts shall not include any of the following: (A) Organizational Documents, (B) real property leases or Realty Use Rights described in Sections 4.7, (C) Contracts relating to commercial “off the shelf” software or (D) Contracts relating to employee benefits.

  • Except as provided in the Plan, the rights afforded in the Plan and the payments and distributions to be made thereunder shall discharge all existing debts and Claims, and shall terminate all Equity Interests, of any kind, nature, or description whatsoever against or in the Debtors or any of their assets or properties to the fullest extent permitted by section 1141 of the Bankruptcy Code.

  • All copies of the Realty Use Rights furnished to Buyer are true, correct and complete and include any and all modifications thereof.

Related to Realty Use Rights

  • Use Rights means the license terms and terms of service for each Product published on the Licensing Site and updated from time to time. The Use Rights supersede the terms of any end user license agreement that accompanies a Product. License terms for all Products are published in the Product Terms. Terms of service for Online Services are published in the Online Services Terms.

  • Sui Generis Database Rights means rights other than copyright resulting from Directive 96/9/EC of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, as amended and/or succeeded, as well as other essentially equivalent rights anywhere in the world.

  • Water Rights means: (1) with respect to any Person, all of such Person’s right, title and interest in and to any water stock, permits or entitlements and any other water rights related to or appurtenant to property owned or leased by such Person, and (2) with respect to any property, any water stock, permits or entitlements and any other water rights related to or appurtenant to such property.

  • Industrial Property Rights means all of the Company's patents, trademarks, trade names, inventions, copyrights, know-how or trade secrets, formulas and science, now in existence or hereafter developed or acquired by the Company or for its use, relating to any and all products and services which are developed, formulated and/or manufactured by the Company.

  • Public Rights-of-Way means the area on, below, or above a public roadway, highway, street, public sidewalk, alley, waterway, or utility easements dedicated for compatible uses.

  • Copyright and Similar Rights means copyright and/or similar rights closely related to copyright including, without limitation, performance, broadcast, sound recording, and Sui Generis Database Rights, without regard to how the rights are labeled or categorized. For purposes of this Public License, the rights specified in Section 2(b)(1)­(2) are not Copyright and Similar Rights.

  • Industrial Designs means all right, title and interest (and all related IP Ancillary Rights) arising under any Requirement of Law in or relating to registered industrial designs and industrial design applications.

  • Access Rights means licences and user rights to foreground or background;
