Recovery Shares means the number of Shares equal to the difference between the Clawback Shares and your Held Shares.

The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;
