Registrable Debt Securities definition

Registrable Debt Securities means (i) the Plan Notes issued to the Trust pursuant to the Plan (if any), (ii) any other debt security issued by the Company in exchange for, upon conversion of or as a result of a reclassification of or otherwise in respect of the Plan Notes or any other debt security issued by the Company that is a Registrable Debt Security, and (iii) any debt security issued by the Company in exchange for, as a reclassification of or otherwise in respect of any Registrable Equity Security, in each case for so long as such debt security is owned by the Trust or a permitted transferee of the Trust's rights under Article III hereof in accordance with Section 3.9 hereof. For the avoidance of doubt, it is understood and agreed that any particular Registrable Debt Security shall cease to be such when (A) a Registration Statement with respect to the sale of such security shall have become effective under the Securities Act and such security shall have been disposed of in accordance with such Registration Statement, (B) such security shall have been sold pursuant to Rule 144 or (C) such security shall have ceased to be outstanding.
Registrable Debt Securities means the Notes or the Exchange Securities, as applicable, until such time as they cease to be Registrable Securities pursuant to Section 1.2 of this Agreement.
Registrable Debt Securities means, as of any date of determination, the debt securities of the Company that the Noteholders have acquired or have the right to acquire. As to any particular Registrable Debt Securities, such securities shall cease to be Registrable Debt Securities when (i) they are sold pursuant to an effective Registration Statement under the Securities Act, (ii) such Noteholder is able to dispose of all of its, his or her Registrable Debt Securities pursuant to Rule 144 without any volume limitations or manner of sale limitations thereunder, provided that at such time such Registrable Debt Securities are not required to bear any legend restricting the transfer thereof, or (iii) they shall have ceased to be outstanding.

  • To the extent that the Sponsor or any of its Affiliates hold debt securities of the Company or any of its subsidiaries or other Affiliates in an aggregate amount greater than 10% of the aggregate outstanding principal amount of such series of debt securities, such securities shall be treated as Registrable Debt Securities hereunder.

Registrable Debt Securities means (a) the Series B Notes; (b) any other securities issued in exchange for or substitution of any Series B Notes; and (c) any securities issued or issuable with respect to the Series B Notes or any other securities issued or issuable in exchange for or substitution of any such Series B Notes in connection with a combination, recapitalization, merger, consolidation or other reorganization or otherwise; PROVIDED that any such securities shall cease to be Registrable Debt Securities with respect to a proposed offer or sale thereof when a Registration Statement with respect to the sale of such securities shall have become effective under the Securities Act and such securities have been disposed of in accordance with the plan of distribution set forth in such Registration Statement or when they shall have been distributed to the public pursuant to Rule 144, Rule 144A or any successor provisions under the Securities Act.
Registrable Debt Securities means, as of any date of determination, the debt securities of the Company that the Noteholders have acquired or have the right to acquire. As to any particular Registrable Debt Securities, such securities shall cease to be Registrable Debt Securities when (i) they are sold pursuant to an effective Registration Statement under the Securities Act, (ii) such
Registrable Debt Securities means the debt securities on terms --------------------------- and conditions substantially identical to those of the Note except to the extent that transfer and other provisions of the Note may be amended for purposes of the registration of such debt security in accordance herewith.
Registrable Debt Securities means the Notes owned by Affiliated Holders issued to the Holders pursuant to the Plan, for so long as such Notes are owned by the Holders or permitted transferee of such the Holders’ rights under Section 7 hereof. For the avoidance of doubt, it is understood and agreed that any particular Registrable Debt Security shall cease to be such when (A) a Registration Statement with respect to the sale of such security shall have become effective under the Securities Act and such security shall have been disposed of in accordance with such Registration Statement, (B) such security shall have been sold pursuant to Rule 144 (or all such securities held by such Holder could be sold within a 90 day period in accordance with the volume limitation of Rule 144 or without volume limitation in accordance with the provisions of Rule 144(k)) or pursuant to another exemption from registration under the Securities Act pursuant to which the securities sold are thereafter freely transferable without registration and without restriction under the Securities Act or (C) such security shall have ceased to be outstanding.

Registrable Debt Securities means the Series A Notes, any additional debt securities issued under the Indenture, and any debt securities of the Company or any of its subsidiaries that may be purchased or acquired after the date of this Agreement by the Investor or its affiliates and are subject to restrictions on transfer under the Securities Act or any other applicable securities laws, including without limitation volume restrictions pursuant to Rule 144 under the Securities Act. As to any particular Registrable Securities, once issued such securities shall cease to be Registrable Securities when (i) a registration statement with respect to the sale of such securities shall have become effective under the Securities Act and such securities shall have been disposed of in accordance with such registration statement, (ii) they shall have been sold pursuant to Rule 144, or (iii) they shall have ceased to be outstanding.

  • Additional Registrable Securities means, (i) any Cutback Shares not previously included on a Registration Statement and (ii) any capital stock of the Company issued or issuable with respect to the Notes, the Conversion Shares, the Warrants, the Warrant Shares, or the Cutback Shares, as applicable, as a result of any stock split, stock dividend, recapitalization, exchange or similar event or otherwise, without regard to any limitations on conversion, amortization and/or redemption of the Notes or exercise of the Warrants.

  • Registrable Securities means all of the Shares and the Warrant Shares, together with any shares of Common Stock issued or issuable upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Other Registrable Securities means (i) any Common Equity held (directly or indirectly) by any Other Holders or any of their Affiliates, and (ii) any equity securities of the Company or any Subsidiary issued or issuable with respect to the securities referred to in clause (i) above by way of dividend, distribution, split or combination of securities, or any recapitalization, merger, consolidation or other reorganization.

  • Investor Registrable Securities means (i) any Common Equity held (directly or indirectly) by an Investor or any of its Affiliates, and (ii) any equity securities of the Company or any Subsidiary issued or issuable with respect to the securities referred to in clause (i) above by way of dividend, distribution, split or combination of securities, or any recapitalization, merger, consolidation or other reorganization.

  • Included Registrable Securities has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders, and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares.

  • Registrable Security means (a) the shares of Common Stock issued or issuable upon the conversion of any Founder Shares, (b) the Private Placement Warrants (including any shares of the Common Stock issued or issuable upon the exercise of any such Private Placement Warrants), (c) any outstanding shares of Common Stock or any other equity security (including the shares of Common Stock issued or issuable upon the exercise of any other equity security) of the Company held by a Holder as of the date of this Agreement or purchased in the IPO or at any time thereafter, (d) any equity securities (including the shares of Common Stock issued or issuable upon the exercise of any such equity security) of the Company issuable upon conversion of any working capital loans in an amount up to $2,000,000 made to the Company by a Holder, and (e) any other equity security of the Company issued or issuable with respect to any such shares of Common Stock by way of a stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or reorganization; provided, however, that, as to any particular Registrable Security, such securities shall cease to be Registrable Securities when: (A) a Registration Statement with respect to the sale of such securities shall have become effective under the Securities Act and such securities shall have been sold, transferred, disposed of or exchanged in accordance with such Registration Statement; (B) such securities shall have been otherwise transferred, new certificates for such securities not bearing a legend restricting further transfer shall have been delivered by the Company and subsequent public distribution of such securities shall not require registration under the Securities Act; (C) such securities shall have ceased to be outstanding; (D) such securities may be sold without registration pursuant to Rule 144 promulgated under the Securities Act (or any successor rule promulgated thereafter by the Commission) (but with no volume or other restrictions or limitations); or (E) such securities have been sold to, or through, a broker, dealer or underwriter in a public distribution or other public securities transaction.

  • Registrable IP means all patents, patent applications, statutory invention registrations, registered trademarks, registered service marks, registered Internet domain names and copyright registrations.

  • Registrable Amount means an amount of Registrable Securities having an aggregate value of at least $200,000,000 (based on the anticipated offering price (as determined in good faith by the Requesting Shareholders)).

  • Shelf Registrable Securities has the meaning set forth in Section 1(d)(i).

  • Holder of Debt Securities or other similar terms means, a Person in whose name a Debt Security is registered in the Debt Security Register (as defined in Section 2.07(a)).

  • Offered Securities shall have the meaning specified in Section 5.03(b)(ii)(B).

  • Securities as used herein does not include (i) securities of issuers that are affiliated with the Buyer or are part of the Buyer's Family of Investment Companies, (ii) securities issued or guaranteed by the U.S. or any instrumentality thereof, (iii) bank deposit notes and certificates of deposit, (iv) loan participations, (v) repurchase agreements, (vi) securities owned but subject to a repurchase agreement and (vii) currency, interest rate and commodity swaps.

  • Offeror’s Securities means Voting Shares Beneficially Owned by an Offeror on the date of the Offer to Acquire;
