Regulation S Permanent Global Bond definition

Regulation S Permanent Global Bond means a permanent Global Bond in the form of Exhibit A hereto bearing the Global Bond Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Regulation S Temporary Global Bond upon expiration of the Restricted Period.

Examples of Regulation S Permanent Global Bond in a sentence

  • A beneficial interest in a Regulation S Permanent Global Bond may be transferred to a person who takes delivery in the form of an interest in a Rule 144A Global Bond, subject to the rules and procedures of DTC and Euroclear or CEDEL and upon receipt by the Indenture Trustee of a transfer certificate in the form of Exhibit H from the transferor.

  • After the Release Date, distributions due with respect to any beneficial interest in a Regulation S Temporary Global Bond shall not be made to the holders of such beneficial interests unless exchange for a beneficial interest in the related Regulation S Permanent Global Bond is improperly withheld or refused.

  • Each Regulation S Global Bond shall be substantially in the form of the Bond set forth in Section 2.03 hereof containing the Restrictive Legend and the other legends required thereby and numbered from 1 upward with the prefix “RS”, in the case of the Regulation S Permanent Global Bond, and “TRS”, in the case of the Regulation S Temporary Global Bond.

  • Check if Transferee will take delivery of a beneficial interest in the Regulation S Temporary Global Bond, the Regulation S Permanent Global Bond or a Definitive Bond pursuant to Regulation S.

  • The Company and the Trust acknowledge and agree that FSB has been retained pursuant to this Agreement to act solely as Exchange Agent in connection with the Exchange Offer, and in such capacity, FSB shall perform such duties in good faith as are outlined herein.

  • Subject to DTC's customary procedures, the Bond Owner's interest in the Bonds held by DTC will be reduced in an amount equal to the aggregate principal amount of the Bond being transferred (and the Rule 144A Global Bond or the Regulation S Permanent Global Bond, as applicable, held by DTC will be modified or substituted for accordingly) and a Definitive Bond or IAI Bond in an equal aggregate principal amount registered in the name of the transferee shall be delivered to such transferee.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • Regulation S Temporary Global Certificate means, with respect to any Class of Certificates offered and sold outside of the United States in reliance on Regulation S, a single temporary global Certificate, in definitive, fully registered form without interest coupons.

  • Temporary Regulation S Global Note means a temporary Global Note in the form of Exhibit A hereof bearing the Global Note Legend, the Private Placement Legend, and the Temporary Regulation S Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes sold in reliance on Rule 903.

  • Temporary Regulation S Global Certificate As defined in Section 5.02(c)(i) of this Agreement.

  • Permanent Global Note means a permanent global Bearer Note in the form or substantially in the form set out in Appendix B-2 hereto (or in such other form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser(s)) comprising some or all of the Notes of the same Series, issued or to be issued by the relevant Issuer either in exchange for the whole or part of a Temporary Global Note issued in respect of the Notes of the same Tranche or initially representing the Notes;

  • Regulation S-X means Regulation S-X under the Securities Act.

  • Unlegended Regulation S Global Note means a permanent Global Note in the form of Exhibit A bearing the Global Note Legend, deposited with or on behalf of and registered in the name of the Depositary or its nominee and issued upon expiration of the Restricted Period.

  • 144A Global Note means a Global Note substantially in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of, and registered in the name of, the Depositary or its nominee that will be issued in a denomination equal to the outstanding principal amount of the Notes sold in reliance on Rule 144A.

  • Rule 144A Global Security has the meaning specified in Section 2.1(a) of Appendix A.

  • Restricted Global Certificate Has the meaning specified in Section 3.01(c).

  • Rule 144A Global Notes has the meaning set forth in Section 2.16.

  • Rule 144A Global Note has the meaning assigned to it in Section 2.1(d).
