Reimbursement Certificate definition

Reimbursement Certificate means a Reimbursement Certificate as set forth in Article VI the form of which is attached as Exhibit D.
Reimbursement Certificate has the meaning given to that term in the Accounts Agreement.

Reimbursement Certificate as defined in Section 3.3. Reimbursement Date: as defined in Section 2.2.2. Related Real Estate Documents: with respect to any Real Estate required to be subject to a Mortgage pursuant to Section 7.4.1, the following, in form and substance reasonably satisfactory to Agent and received by Agent for review: (a) at least 45 days prior to the effective date of the Mortgage, all information requested by any Lender for its due diligence pursuant to Flood Laws; and (b) at least 15 days prior to the effective date of the Mortgage, (i) such assignments of leases, estoppel letters, attornment agreements, consents, waivers and releases as Agent may reasonably require with respect to other Persons having an interest in the Real Estate; (ii) a current, as-built survey of the Real Estate, containing a metes-and-bounds property description to the extent in the possession of an Obligor; (iii) a life-of-loan flood hazard determination and, if any Real Estate is located in a special flood hazard zone, flood insurance documentation and coverage in accordance with Flood Laws or as otherwise satisfactory to each Lender; and (iv) such other information, documents, instruments or agreements as Agent may reasonably request.
Reimbursement Certificate means a certificate in the form of Appendix E(1) or Appendix E(2) as appropriate or such other form as may be agreed between the Banker (with the prior written consent of ECGD) and the Borrower submitted in accordance with Clause 8
Reimbursement Certificate means a certificate submitted by the Company in accordance with Clause 5.3 (Reimbursement Claim) in the form of Part 1 (Form of Reimbursement Certificate) of Schedule 2 (Reimbursement Certificate and Construction Contractor’s Receipt) or such other form as may be agreed between the Facility Agent and the Company. Reimbursement Claim means a claim submitted by the Company to the Facility Agent in the manner specified in Clause 5.3 (Reimbursement Claim).
