Reinvestment Certificate definition

Reinvestment Certificate is defined in Section 4.8(b) hereof.
Reinvestment Certificate means with respect to any Triggering Sale, a certificate of a Responsible Officer of the Borrower delivered pursuant to Section 6.02(e) detailing how the Reduction Amount corresponding to such Triggering Sale has been Reinvested and the portion of such Reduction Amount which has not been Reinvested.
Reinvestment Certificate is defined in Section 2.10(b) hereof.

Examples of Reinvestment Certificate in a sentence

  • The Borrower shall have delivered to the Administrative Agent the Pending Reinvestment Certificate.

  • If such Reduction Amount has been Reinvested within such one hundred (180) day period as reflected on the Reinvestment Certificate delivered to the Administrative Agent pursuant to Section 6.02(e), then there shall be no permanent reduction of the Aggregate Commitments.

  • If such Reduction Amount has been Reinvested within such one hundred eighty (180) day period as reflected on the Reinvestment Certificate delivered to the Administrative Agent pursuant to Section 6.02(e), then there shall be no permanent reduction of the Aggregate Commitments.

  • At the end of such 180 day period (or such longer period as may be specified in the applicable Reinvestment Certificate in the circumstances described above), 50% of the Net Proceeds of such Asset Disposition in excess of $100,000 which have not been used as set forth in the Reinvestment Certificate shall immediately be used to repay the Term Loans or, in the event that the Term Loans have been paid in full, to reduce the Total Commitments as provided herein.

Reinvestment Certificate means, with respect to an Asset Sale, a certificate signed by a Senior Officer of the Company stating that within the relevant Reinvestment Period, up to 50% of the Net Cash Proceeds of such Asset Sale shall be used to make Restricted Investments.
