Reinvestment Assets definition

Reinvestment Assets means any assets to be employed in the business of the Borrower and its Subsidiaries as described in Section 8.01.

Reinvestment Assets means any assets to be employed in the business of any Borrower or Subsidiary Loan Party as conducted on the Closing Date.

Reinvestment Assets means, with respect to any Asset Sale or the receipt of any Net Insurance Proceeds from a Recovery Event, assets to be employed in, and/or the capital stock of any Person engaged in, the types of businesses permitted in Section 8.08.

• The undersigned hereby further certifies that, as of the date hereof and since the date of the Monthly Collateral Report described above, $ has been reinvested in Reinvestment Assets in accordance with the terms of the Loan Agreement.

• At the time of the acquisition of any Reinvestment Assets, the Borrower shall comply and shall cause its Subsidiaries to comply with Section 8.11, to the extent applicable.

More Definitions of Reinvestment Assets

Reinvestment Assets means any assets owned by and to be employed in the business of the Borrower and its Subsidiaries as described in Section 7.01.

Reinvestment Assets means, with respect to any Asset Sale, any properties or assets that replace the properties or assets that were the subject of such Asset Sale that will be employed in the business of the Borrowers and their respective subsidiaries as operated on the Initial Closing Date.

Reinvestment Assets shall have the meaning provided in Section 4.02(e).

Reinvestment Assets means any replacement assets of a like kind to those assets subject to the Asset Sale or Recovery Event giving rise to a Reinvestment Election; provided, however, that (i) such replacement assets shall be employed in the business of, and be owned by, Holdings and/or its Subsidiaries and (ii) such replacement assets shall not be subject to any Liens.

Reinvestment Assets means, with respect to any Asset Swap or Disposition resulting in any Excess Net Cash Payments, Permitted Investments (excluding those described in clause (2) of the definition thereof), Restricted Investments permitted hereunder, assets similar to those subject to the applicable Disposition or Asset Swap, or in other assets used in a Permitted Line of Business, Acquisitions permitted hereunder or Capital Expenditures permitted hereunder.

Reinvestment Assets means, collectively, (a) any Capital Assets or other Property to be used or otherwise employed by the Parent Company, the Borrower or any of their Subsidiaries in any Lines of Business, and (b) any Acquisition permitted by Section 8.6.
