Relocating Party definition

Relocating Party shall have the definition set forth in the Article entitled Relocation.
Relocating Party shall have the meaning set forth in Section 5.1. “Remainco” shall have the meaning set forth in the Preamble. “Remainco Asset Transferee” shall have the meaning set forth in the Separation Agreement. “Remainco Board” shall have the meaning set forth in the Recitals. “Remainco Group” shall have the meaning set forth in the Separation Agreement.

  • The Relocating Party shall relocate the affected portion of its System and so long as such relocation is not necessitated by a breach of the Relocating Party's obligations under this Agreement, the other party shall reimburse the Relocating Party for the other party's proportionate share of all Relocation Costs, including, without limitation, fiber acquisition, splicing and testing, pro rated based on the party's owned or leased IRUs to the total fiber count in the affected Cable so relocated.

  • In the event that a third party (which does not have an interest in the fibers on the Cable) reimburses the Relocating Party for all of or a portion of the cost to relocate the Relocating Party's System, then this reimbursement amount shall reduce on a dollar for dollar basis the aggregate amount of Relocation Costs deemed to have been spent by the Relocating Party under this Article.

  • The Relocating Party shall deliver to the other party updated as-built drawings as set forth in Exhibit D with respect to any relocated portion of its System not later than one hundred eighty (180) days following the completion of such relocation.

  • Upon request by such party, the Relocating Party will promptly provide the necessary substantiating information which will allow the other party to verify the accuracy of the invoice.

  • If Remainco and Spinco agree that the Relocating Party must secure an alternative location, the selection and implementation of such location shall be at the Relocating Party’s sole cost and expense.

  • The Relocating Party agrees that no request for reimbursement from the other party shall be requested unless the other party's proportional amount of the Relocation Costs for such project exceeds ****.

  • If Remainco and Xxxxxx Partner do not reach a mutual agreement pursuant to the preceding sentence on or before June 30, 2024, then the Relocating Party shall fully vacate, at its sole cost and expense, the applicable Subleased Property on or prior to the Distribution Date.

  • The Relocating Party PROPRIETARY/CONFIDENTIAL shall deliver to the other party updated as-built drawings in substantially the form of those set forth in EXHIBITS D-1 AND D-2 as applicable, with respect to any relocated portion of its System not later than one hundred eighty (180) days following the completion of such relocation.

  • Upon request by such Party, the Relocating Party will promptly provide the necessary substantiating information that will allow the other Party to verify the accuracy of the invoice.

  • If Remainco and Buyer do not reach a mutual agreement pursuant to the preceding sentence on or before October 31, 2024, then the Relocating Party shall fully vacate, at its sole cost and expense, the applicable Subleased Property on or prior to the Closing Date.

Related to Relocating Party

  • Initiating Party means a party who gives notice under section 2 of this Schedule;

  • Terminating Party As defined in Section 7.1(f).

  • Demolition works means any physical activity to tear down or break up a structure (or part thereof) or surface, or the like, and includes the loading of demolition waste and the unloading of plant or machinery.

  • The Works/Project means the works to be executed or done under this contract.

  • complaining Party means any Party that requests the establishment of an arbitration panel under Article 3.5 (Initiation of the Arbitration Procedure);

  • City’s Project Manager means the City’s employee, or his/her delegate, who is authorized in writing to deal with the Consultant on behalf of the City in connection with the Services, or to make decisions in connection with this Agreement;

  • Sign area means the total surface area within the outer periphery of the said sign, and in the case of a sign comprised of individual letters or symbols, shall be calculated as the area of a rectangle enclosing the letters or symbols. Frames and structural members not bearing advertising matter shall not be included in computation of surface area.

  • Performing Party As defined in Section 11.12.

  • Work Locations means any real estate that Windstream owns, leases or licenses or in which it holds easements or other rights to use, or does use, in connection with this Agreement.

  • Sheltered workshop means a work-oriented rehabilitative facility with a controlled working environment and individual goals that utilizes work experience and related services for assisting the handicapped person to progress toward normal living and a productive vocational status.

  • Contracting Party shall have the meaning designated in the preamble to Section 5.2 hereof.

  • Supplying Party shall have the meaning stated in Section 35.8.2.

  • Contractor means the individual or entity, that has entered into this contract with the Commonwealth.

  • Residential contractor means a licensed contractor that holds an endorsement as a:

  • Auditing Party means the Party conducting an audit of the Audited Party’s books, records, data and other documents.

  • Developer means the legal or beneficial owner or owners of a lot or of any land proposed to be included in a proposed development, including the holder of an option or contract to purchase, or other person having an enforceable proprietary interest in such land.
