Required Units definition

Required Units means that number of Common Units (including Series A Conversion Units and Common Units that have been issued upon exchange or conversion of Special Voting Units or upon conversion of Non-Voting Common Units) as shall constitute ten percent (10%) or more of the aggregate number of Outstanding Common Units (including Series A Conversion Units and Common Units that have been issued upon exchange or conversion of Special Voting Units or upon conversion of Non-Voting Common Units) and Special Voting Units. For the avoidance of doubt, no Series A Preferred Units that have not been converted into Series A Conversion Units, Special Voting Units that have not been converted into or exchanged for Common Units or Non-Voting Common Units that have not been converted into Common Units shall be counted as Required Units.
Required Units means that number of Common Units (including Series A Conversion Units and Common Units that have been issued upon exchange or conversion of Special Voting Units) as shall constitute ten percent (10%) or more of the aggregate number of Outstanding Common Units (including Series A Conversion Units and Common Units that have been issued upon exchange or conversion of Special Voting Units) and Special Voting Units. For the avoidance of doubt, neither Series A Preferred Units that have not been converted into Series A Conversion Units nor Special Voting Units that have not been converted into or exchanged for Common Units shall be counted as Required Units.
Required Units means that number of Class D Common Units as is reasonably expected to be required to be converted into Common Units so that a holder thereof may, upon a prompt sale of such Common Units, realize sufficient net proceeds therefrom, on an after-tax basis, in an amount equal to the federal income tax resulting from the recognition of such built-in gain as a result of any actions by Regency or its Affiliates described in clause (i) or (ii) of the first sentence of this Section 5.17. Regency shall provide the Partners with prompt notice of each sale of interests in the Surviving Company or assets of the Surviving Company that is reasonably likely to accelerate any built-in gain in any such asset of the Surviving Company with respect to the Class D Common Units received by the Partners in the Merger, and such notice shall describe such sale in reasonable detail, but in no event shall the failure to provide such prompt notice be construed to affect any rights of Regency under this Agreement.

  • Supplier agrees that it will accept all Orders from Aviza for the Required Units (as defined in the JDA) that request a delivery date within the lead times specified in Section 4.1 of the JDA, provided Aviza’s quantity requirements are reasonable.

  • Notwithstanding anything to the contrary set forth in this Section 4, Aviza shall have no right to reschedule, cancel or otherwise change Orders in a manner that would delay the complete delivery of the eight (8) Required Units under the JDA to a date more than thirty (30) months after the JDA’s Effective Date.

  • Required Units for Small-lot Conversion shall be as of the date of acceptance of such Request for Conversion by the Trustee (therefore, it may be vary from that of the date of such Request for Conversion by the Beneficiaries).

  • Upon Employee’s Date of Termination for any such unauthorized sale or transfer of any of the Required Units, the Company shall pay to Employee a lump cash payment equal to Employee’s Accrued Obligations shall be made to Employee on the sixtieth (60th) day following the Employee’s Date of Termination.

  • Company may terminate Employee at any time following Employee’s sale of transfer of any of Employee’s Required Units of CrossFirst Holdings, LLC, without the prior consent of the Committee.

  • Common Units is defined in the Partnership Agreement.

  • Company Units has the meaning set forth in the Recitals.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Tendered Units shall have the meaning set forth in Section 8.6.A.

  • Class B Units means the Class B Units of the Company.

  • Preferred Units means all Partnership Interests designated as preferred units by the General Partner from time to time in accordance with Section 4.02 of the Partnership Agreement.

  • Series B Preferred Units shall have the meaning provided in Section 1.

  • Restricted Units means that number of restricted units listed in the Award Letter as “Awards Granted.”

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Class A Common Units means the Company's Class A Common Units.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Parity Preferred Units shall have the meaning provided in Section 4.

  • LTIP Units means LTIP Units, as such term is defined in the Partnership Agreement.

  • Vested Units means those Units listed as vested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

  • Redeemed Units has the meaning set forth in Section 11.01(a).
