Requisite Ratings definition

Requisite Ratings means (i) in respect of the Liquidity Facilities and the Borrower Liquidity Reserve Account Trust Deed, in respect of any person, such person's short term unsecured debt obligations being rated, in the case of S&P, "A-1", in the case of Moody's "P-1" and in the case of Fitch, "F1" or at least any two of the above (including S&P), and (ii) in respect of all other Transaction Documents, the Minimum Short-term Rating.
Requisite Ratings means short-term senior unsecured deposit ratings of “A-1+”, and “P-1” from each of S&P and Xxxxx’x, respectively and long term credit ratings of at least “AA-” and “Aa3” from each of S&P and Xxxxx’x, respectively.
Requisite Ratings means (a) a corporate rating on the Borrower’s senior unsecured (non-credit enhanced) debt of at least BBB- from S&P or an equivalent rating from S&P in the event S&P changes its rating system and (b) a corporate family rating on the Borrower senior unsecured (non-credit enhanced) debt of at least Baa3 from Moody’s or an equivalent rating from Moody’s in the event Moody’s changes its rating system.

  • It has the Requisite Ratings (and will promptly notify both Funding 1 and the Security Trustee of the occurrence of any downgrading by the Rating Agencies of any of its rated debt obligations to a level below the Requisite Ratings).

Any document delivered hereunder that is signed by a Responsible Officer of a Loan Party shall be conclusively presumed to have been authorized by all necessary corporate, partnership and/or other action on the part of such Loan Party and such Responsible Officer shall be conclusively presumed to have acted on behalf of such Loan Party. To the extent requested by the Administrative Agent, each Responsible Officer will provide an incumbency certificate and to the extent requested by the Administrative Agent, appropriate authorization documentation, in form and substance satisfactory to the Administrative Agent. “Restricted Indebtedness” means Indebtedness of the Parent Borrower or any Subsidiary, the payment, prepayment, repurchase or defeasance of which is restricted under Section 8.06. “Restricted Payment” means any dividend or other distribution (whether in cash, securities or other property, but excluding any payment in Equity Interests (other than Disqualified Preferred Stock) in the 33 CHAR1\1732710v2
