Resale Costs definition

Resale Costs means all reasonable and customary costs and charges incurred by Buyer in handling Gallons received from the Plant (including the cost of any Gallons properly obtained by Buyer pursuant to Section 7.3 herein), without mark-up by Buyer, and without charge for Buyer's administrative costs.
Resale Costs means, in respect of any resale of Qualified Securities by Grupo and its Qualified Affiliates during the Registration Period, all out-of-pocket fees, commissions and other (customary and reasonably acceptable to Nextel Investment or the purchaser designated by Nextel Investment) expenses (including expenses of underwriter's, broker's or dealer's counsel that are customarily reimbursed to underwriters, brokers and dealers and that are reasonably acceptable to Nextel Investment or the purchaser designated by Nextel Investment) incurred and paid by Grupo and its Qualified Affiliates that are (i) customary and usual for similar types of arrangements for the resale of publicly traded securities (including, without limitation, discounts indicated on the cover of any prospectus included in a registration statement relating to such resale as underwriting compensation payable to or deductible from payments by any underwriter, broker or dealer acquiring Qualified Securities from Grupo or selling such Qualified Securities on behalf of Grupo), (ii) directly related to such arrangement for the resale of Qualified Securities and (iii) are evidenced by documentation reasonably satisfactory to Nextel Investment.
Resale Costs means commercially reasonable costs incurred by REMC in the resale of Available Energy purchased from XXX COUNTY hereunder.

Related to Resale Costs

  • Allowable Costs means the costs defined as allowable in 42 CFR, Chapter IV, Part 413, as amended to October 1, 2007, except for the purposes of calculating direct medical education costs, where only the reported costs of the interns and residents are allowed. Further, costs are allowable only to the extent that they relate to patient care; are reasonable, ordinary, and necessary; and are not in excess of what a prudent and cost-conscious buyer would pay for the given service or item.

  • Additional Servicing Expenses means (a) all Property Protection Advances, fees and/or expenses incurred by and reimbursable to any Servicer, Trustee, Certificate Administrator or fiscal agent pursuant to the Servicing Agreement relating solely to the Mortgage Loan, and (b) all interest accrued on Advances made by (x) any Servicer or Trustee in accordance with the terms of the Servicing Agreement or (y) any Non-Lead Servicer or Non-Lead Trustee in accordance with the terms of the Non-Lead Securitization Servicing Agreement.

  • O&M Costs as defined in the Depositary Agreement.

  • Service Costs has the meaning ascribed thereto in Section 3.01.

  • Prime costs and “Prime cost sum” means the amount actually paid by the contractor for any article, commodity or special work and shall include all proper charges for packing, carriage and delivery to site, after deduction of all trade documents, rebates and allowances and the discount obtainable for cash insofar as such discount for cash exceeds 2½%.

  • Additional Transportation Cost means the actual cost incurred for one-way Economy Transportation by Common Carrier reduced by the value of an unused travel ticket.

  • Cleanup costs means expenses (including but not limited to legal and professional fees) incurred in testing for, monitoring, cleaning up, removing, containing, treating, neutralizing, detoxifying or assessing the effects of Pollutants.

  • Sales and Use Taxes means local and State sales and compensating use taxes and fees imposed pursuant to Article 28 of the New York State Tax Law, as the same may be amended from time to time.

  • Operating Costs means the incremental expenses incurred by the Recipient on account of Project implementation, management, and monitoring, including for office space rental, utilities, and supplies, bank charges, communications, vehicle operation, maintenance, and insurance, building and equipment maintenance, advertising expenses, travel and supervision, salaries of contractual and temporary staff, but excluding salaries, fees, honoraria, and bonuses of members of the Recipient’s civil service.

  • Closing Costs means, collectively, all initial costs and fees that identified above and in Section 16 that Seller agrees to pay to Buyer as consideration for agreeing to enter into this Agreement.

  • Related Expenses means any and all costs, liabilities, and expenses (including, without limitation, losses, damages, penalties, claims, actions, reasonable attorney's fees, legal expenses, judgments, suits and disbursements) reasonably incurred by, or imposed upon, or asserted against, Lender in any attempt by Lender:

  • Selling Expenses means all underwriting discounts, selling commissions, and stock transfer taxes applicable to the sale of Registrable Securities, and fees and disbursements of counsel for any Holder, except for the fees and disbursements of the Selling Holder Counsel borne and paid by the Company as provided in Subsection 2.6.
