Road Development Agreement means that certain Road Development Agreement, dated as of January 10, 1997, by and among the State of New Jersey, SJTA and AC Holding Corp., a Nevada corporation, as successor by assignment to MRI, which Road Development Agreement has been amended pursuant to that certain First Amendment, dated as of July 31, 1997, that certain Second Amendment, dated as of October 10, 1997, that certain Amended and Restated Third Amendment, dated as of February 1, 1999 and that certain Fourth Amendment, dated as of October 30, 1999, and as the same may hereafter be amended or supplemented from time to time upon the terms and conditions permitted hereby.
