ScottishPower Group definition

ScottishPower Group means Scottish Power UK plc, any subsidiary or holding company from time to time of ScottishPower UK plc and any subsidiary from time to time of a holding company of that company, the terms "holding company" and "subsidiary" being as defined in section 1159 of the Companies Act 2006 and a company shall be treated, for the purposes only of the membership requirement contained in subsections 1159(1)(b) and (c), as a member of another company even if its shares in that other company are registered in the name of (a) another person (or its nominee), whether by way of security or in connection with the taking of security, or (b) its nominee, and any other entity which directly or indirectly controls, is controlled by or is under direct or common control with, ScottishPower from time to time (the term “control” for the purpose of this definition meaning that a person possesses, directly or indirectly, the power to direct or cause the direction of the management and policies of the other person (whether through the ownership of voting shares, by contract or otherwise)), and “ScottishPower Group Company” and “ScottishPower Group Companies” shall be construed accordingly. ScottishPower Group means ScottishPower and its subsidiaries, subsidiary undertakings, associated companies (including any joint venture, partnership, firm, company or unincorporated association in which any subsidiary, subsidiary undertaking or associated company is interested) and related undertakings other than the Licensee and its subsidiaries and related undertakings.

  • ANNEX B Data Protection Requirements This Annex sets out certain additional terms that apply under the Agreement where the performance of the Agreement involves the Supplier accessing, collecting, storing and/or otherwise Processing any ScottishPower Personal Data on behalf of the Company and/or any other ScottishPower Group Company.

  • The Company shall be entitled to assign, novate, sub-contract or otherwise transfer any of the Company’s rights and/or obligations under this Contract to any other ScottishPower Group Company, and shall provide the Supplier with written notice of the same.

  • The Parties agree that (i) the Company shall be entitled to enforce the relevant terms of this Contract (and to recover any losses suffered and/or incurred by any ScottishPower Group Company) on behalf of any ScottishPower Group Company as if it were a party to this Contract and (ii) any ScottishPower Group Company shall also have the right to rely on and to enforce the terms of this Contract as if it were a party to this Contract.

  • This Contract is entered into by the Company for the benefit of all of all ScottishPower Group Companies and without prejudice to the foregoing generality each such ScottishPower Group Company shall have the benefit of all licences, warranties, undertakings and indemnities granted in favour of the Company under this Contract.

  • Without prejudice to the foregoing obligation, where the Supplier processes personal data belonging to the Company, any ScottishPower Group Company and/or their respective customers, suppliers or agents in the course of providing the Services, the provisions of the Schedule shall apply to the Supplier.

Related to ScottishPower Group

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Peer Group Companies means the following companies: .

  • Relevant Group means the Company and any affiliated, combined, consolidated, unitary or similar group of which the Company is or was a member.

  • Group Companies means the Company and its Subsidiaries.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • CBS shall have the meaning set forth in the Preamble.

  • the Group means the Company and its subsidiary undertakings (if any); and

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Participating Subsidiaries means the Subsidiaries that have been designated as eligible to participate in the Plan, and such other Subsidiaries that may be designated by the Committee from time to time in its sole discretion.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • financial group means a group that consists of a legal person or legal arrangement exercising control and coordinating functions over the rest of the group for the application of group supervision under the Core Principles, and its branches and subsidiaries that are financial institutions as defined in section 27A(6) of the MAS Act or the equivalent financial institutions outside Singapore;

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • SCS means the Soil Conservation Service.

  • Material Group Company means the Issuer or a Subsidiary representing more than 10.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the EBITDA of the Group on a consolidated basis according to the latest Financial Report.

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Subsidiary Companies means all business entities that, at the time in question, are subsidiaries of the Company, within the meaning of section 424(f) of the Code.

  • AIG means American International Group, Inc.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.
