Second Option Period definition

Second Option Period has the meaning given in Section 5(a).
Second Option Period. Means the period of 5 days commencing with the Second Anniversary of the Stock Purchase Agreement or if later the issue by GA of the Second Option Shares
Second Option Period is defined in Section 2.02(a).

  • The closing of any purchase and sale under this Article 2 shall take place at the principal office of the Company at the date designated by the Company, which shall not be more than ninety (90) days after the written consent of the Company pursuant to Section 2.1(a) or ninety (90) days after the end of the Second Option Period pursuant to Section 2.1(b).

Second Option Period shall have the meaning assigned to such term in Section 4.3.1(c)(ii).
Second Option Period means the second twelve month extension period following the Expiration Date. If prior to the Extension Date Client provides an Option Extension Notice to Supplier for the First Option Period only, then Client shall also have the right at least six (6) months (the “Second Extension Date”) before the expiration of the First Option Period (the “First Option Period Expiration Date”) to provide Supplier with an Option Extension Notice of its election to extend the Agreement Term beyond the First Option Period Expiration Date for the Second Option Period. The Parties agree to negotiate the period, terms and conditions of any further extension of this Agreement beyond the Second Option Period Expiration Date in good faith and upon mutually agreeable terms to be documented in an amendment to this Agreement (an “Extension Amendment”). If Client fails to provide an Option Extension Notice to Supplier on or before the applicable Extension Date or the Parties are unable to negotiate and execute an Extension Amendment on or before the Second Option Period Expiration Date, the Agreement Term will expire effective as of the Expiration Date, the First Option Period Expiration Date or the Second Option Period Expiration Date, as the case may be.
