Security Shares definition

Security Shares means the Group Shares and the Related Rights and, in the case of a particular Chargor, means such of the Group Shares as are held by it at the relevant time, together with all Related Rights in respect of such Group Shares.

Security Shares means all the Personal Shares and the Sale Shares being 17,675,353 common shares of US$.01 each in the share capital of Global Sources Ltd. as described in Schedule 1 and held by, to the order or on behalf of the Chargor at any time;

Security Shares means the Group Shares and the Related Rights and, such of the Group Shares as are held by the Chargor at the relevant time, together with all Related Rights in respect of such Group Shares. Swap Contract is defined in the Credit Agreement. Treasury Management Agreement is defined in the Credit Agreement.

Examples of Security Shares in a sentence

• As at the Initial Issue Date, the Security Shares (as such term is defined in Security Agreement) are issued, fully paid, non-assessable and freely transferable and constitute shares in the capital of limited companies, and there are no moneys or liabilities outstanding or payable in respect of any such share.

More Definitions of Security Shares

Security Shares means the Sale Shares and the Personal Shares;

Security Shares means the Security Shares referred to in Section 12 of the Subscription Agreement together with the signature guaranteed stock powers referred to therein.

Security Shares means the Original Shares and all and any other securities, which are for the time being mortgaged or charged to the Security Trustee pursuant to clause 3 (but excluding any rights, title, benefit and interest charged, assigned or mortgaged to the Security Trustee pursuant to Clause 3(d)).
