Security Trust Deeds definition

Security Trust Deeds means the Jade Security Trust Deed and the Jewel Security Trust Deed.
Security Trust Deeds means the Security Trust Deed dated 2 August 2012 between, inter alios, Spire Homes (LG) Limited and the Security Trustee (as amended from time to time) (the “Spire Security Trust Deed”) and the Security Trust Deed dated 2 August 2012 between, inter alios, Longhurst & Havelok Homes Limited and the Security Trustee (as amended from time to time) (the “Longhurst Security Trust Deed”), and references to “Security Trust Deed” mean either of them;‘Security Trustees” means the Spire Security Trustee and the Longhurst Security Trustee;

  • None of the Secured Creditors, the Other Creditors, the Securityholders or the other Transaction Parties shall be entitled to proceed directly against the Issuer in respect of the Security Trust Deeds unless the Security Trustee, having become bound to proceed in accordance with the terms of the Security Trust Deeds, fails or neglects to do so within a reasonable time and such failure is continuing.

  • In accordance with the Security Trust Deeds, the Security Trustee will and will be deemed to release without the need for any notice or other formalities from such Security the relevant portion of the Secured Property relating to the ETC Securities so purchased and cancelled.

  • The Company hereby assigns with full title guarantee the Assigned Rights to the Delegate to hold the same on behalf of the Secured Creditors on the terms set out in the Security Trust Deeds as security for the payment and discharge of the Secured Obligations.

  • The failure of the Issuer to perform its obligations under this Irish Law Security Trust Deed or under any of the Transaction Documents to which it is a party relating to a Series shall not release the Issuer from its obligations under the Irish Law Security Trust Deed(s) or under any of the Transaction Documents to which it is a party relating to any other Series.

  • The Bond Trustee shall not be responsible for monitoring the compliance by any of the other Transaction Parties with their obligations under the Transaction Documents, neither shall the Bond Trustee be responsible for monitoring the compliance by the Borrower or any of the other parties to the Security Agreements and the Security TrustDeeds of their obligations under the Security Agreements, the Security Trust Deeds or any other document.

  • For so long as any of the Bonds remain outstanding, the Issuer covenants that it shall not consent to any waiver, amendment or modification of, or take any action or direct the Security Trustee to take any action pursuant to, the Loan Agreements, the Security Agreements or the Security Trust Deeds except with the prior consent of the Bond Trustee.

  • If an Event of Default has occurred and is continuing, the Security Agent may, and shall if so directed by the requisite Secured Party or Secured Parties in accordance with the Security Trust Deeds, give notice to AM that no further amount may be withdrawn or transferred from the Onshore Controlled Account except upon the instructions of the Security Agent as so directed by the requisite Secured Party or Secured Parties in accordance with the Security Trust Deed.

  • The Bond Trustee shall not be responsible for monitoring the compliance by any of the other Transaction Parties with their obligations under the Transaction Documents, neither shall the Bond Trustee be responsible for monitoring the compliance by either Borrower or any of the other parties to the Legal Mortgages and the Security Trust Deeds of their obligations under the Legal Mortgages, the Security Trust Deeds or any other document.

  • Security Trust Deed means the Security Trust Deed executed by, inter alia, the Borrower, the Guarantor, the Collateral Agent, the Facility Agent, the Original Secured Creditors (as defined therein) and the Delegate Collateral Agent and shall be substantially in the form of Exhibit P or otherwise reasonably acceptable to the Facility Agent.

  • Collateral Trust Agreement means that certain Collateral Trust Agreement, dated as of the Closing Date, by and among Collateral Trustee and Lenders, as amended, restated, supplemented or otherwise modified from time to time.

  • Intercreditor Agent has the meaning given to such term in the Intercreditor Agreement.

  • Bond Trustee means the company designated as such in the preamble to these Bond Terms, or any successor, acting for and on behalf of the Bondholders in accordance with these Bond Terms.
