Seismic License definition

Seismic License means the Seismic License from SM Energy, as Licensor, to Buyer, as Licensee, covering all geological and geophysical data (including seismic data) included in the Assets, substantially in the form attached hereto as Exhibit E.
Seismic License is defined in Section 8.15(a).
Seismic License means a document in the form of Exhibit “L”.

Examples of Seismic License in a sentence

  • Pursuant to the terms of such Seismic Licenses, the consummation of the transactions contemplated hereunder may require the consent of the applicable licensor, or the payment of one or more transfer, assignment or change of control fees or payments unless the applicable member of the Company Group cancels or terminates such Seismic License.

  • With respect to any of Seller’s wholly-owned seismic data pertaining to the Properties, Buyer and Seller shall execute and deliver the Seismic License at Closing.

  • The purchase of the Seismic License also fulfills a key condition of the approval granted on 23 December 2020 by the National Offshore Petroleum Titles Authority (NOPTA) for the "Variation and Suspension of Work Program and Extension of Permit Term: Petroleum Exploration Permit Vic/P47".

  • To the extent permitted by the 3D Seismic License and subject to Buyer’s payment of any fees pursuant to such license, Seller has transferred, or prior to Closing, will transfer, the 3D Seismic Data and the 3D Seismic License to Buyer, and Buyer shall have the right to use the 3D Seismic Data without any restriction, other than those imposed upon the original counterparty to the 3D Seismic License.

  • Within ten (10) Business Days after the date of this Agreement, Buyer shall notify Seller in writing with respect to each Seismic License whether it is to be (i) terminated and cancelled (the “Terminated Licenses”) or (ii) retained by (or assigned to) any Acquired Company (the “Retained Licenses”).


More Definitions of Seismic License

Seismic License means any seismic, data and geophysical licenses and permits.
Seismic License means a perpetual, non-exclusive, non-transferable licence to use the Proprietary Seismic Data and the Joint Seismic Data which is Unrestricted Joint Seismic Data at the Closing Time which will be granted by the Vendor to the Purchaser at Closing and which will contain generally accepted industry terms;
