Selected Participant means regular, full-time employees of the Company who are selected by the Committee to participate in the Plan.

A person who becomes a Selected Participant solely by virtue of clause (i) above shall cease to be a Selected Participant in the event that he or she does not have the title of Vice President, President or Chairman of the Board of the Company and is advised by counsel to the Company that he or she is not an executive officer of the Company. A person who becomes a Selected Participant solely by virtue of clause (iv) above shall cease to be a Selected Participant when and if the Special Participants Committee delivers a notice to the Secretary of the Company stating that such Participant is no longer to be treated as a Selected Participant.
