Seller Conveyancing Documents definition

Seller Conveyancing Documents means each Deed, Tenant Lease Estoppel, Xxxx of Sale, Assignment of Contracts, Assignment of Lease, Assignment of Management Agreement, non-foreign affidavit, loan assumption agreement, Resident Notice, Settlement Statement, Bringdown Certificate and any other document executed and delivered by any Seller pursuant to Section 5.2.
Seller Conveyancing Documents means each Deed, Ground Lease Assignment, Ground Lessor Consent (including Ground Lessor’s lender, if required), Ground Lease Estoppel, Tenant Lease Estoppel, Xxxx of Sale, Goods and Inventory Xxxx of Sale, Assignment of Contracts, Assignment of Membership Documents, Assignment of Water Documents, Assignment of Leases, Assignment of Management Agreements, Trademarks Assignments, Bringdown Certificate and each other document contemplated to be executed and delivered by any Seller pursuant to Section 6.2 below.

Examples of Seller Conveyancing Documents in a sentence

  • Without limiting the generality of the foregoing, Buyer acknowledges and agrees that, except as otherwise provided in this Agreement and in the Seller Conveyancing Documents, it is acquiring the Properties pursuant to this Agreement based solely on Buyer’s own evaluation of the Properties’ condition and past and future financial performance.

Related to Seller Conveyancing Documents

  • Seller Ancillary Documents means any agreement or other instrument, other than this Agreement, but including the Commercial Agreements, to be executed and delivered by a Seller or an Affiliate thereof in connection with the transactions contemplated hereby.

  • Closing Documents means the papers, instruments and documents required to be executed and delivered at the Closing pursuant to this Agreement;

  • Seller’s Closing Documents as defined in Section 3.2(a).

  • Seller Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.

  • Buyer Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Buyer or an Affiliate of Buyer under this Agreement or in connection herewith, including the Escrow Agreement.

  • Conveyance Documents has the meaning set forth in Section 11.2(a).

  • Seller Documents has the meaning set forth in Section 3.2.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Ancillary Documents means each agreement, instrument or document attached hereto as an Exhibit, and the other agreements, certificates and instruments to be executed or delivered by any of the Parties hereto in connection with or pursuant to this Agreement.

  • Seller Agreements means those agreements between Seller and third parties, including Artists and/or PRO, wherein Seller is entitled to receive the Percentage Interest of all Assets.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Seller Contracts means all Contracts (i) relating to the Business under which Seller has or may acquire any rights or benefits, (ii) relating to the Business under which Seller has or may become subject to any obligation or Liability or (iii) by which any of the Purchased Assets or Assumed Liabilities is or may become bound.

  • Seller Consents has the meaning set forth in Section 3.03.

  • Seller Closing Certificate has the meaning set forth in Section 7.02(d).

  • Ancillary Agreements means the Xxxx of Sale and Assignment and Assumption Agreement, the Deeds, the Assignments of Leased Properties, the Assignments of Intellectual Property and any other instrument or agreement contemplated by this Agreement or the foregoing.

  • Purchased Asset Documents means, with respect to a Purchased Asset, the documents comprising the Purchased Asset File for such Purchased Asset.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Mortgage Loan Documents means, with respect to the Mortgage Loan, the Mortgage Loan Agreement, the Mortgage, the Notes and all other documents now or hereafter evidencing and securing the Mortgage Loan.

  • Ancillary Document has the meaning assigned to it in Section 9.06(b).

  • Closing Instrument means the closing instrument of the Trust, pursuant to which the Indenture is entered into, and certain other documents are executed, in connection with the issuance of the Notes by the Trust.

  • Seller Contract any Contract (a) under which Seller has or may acquire any rights or benefits; (b) under which Seller has or may become subject to any obligation or liability; or (c) by which Seller or any of the assets owned or used by Seller is or may become bound.

  • Seller has the meaning set forth in the Preamble.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.
