Seller Materials means any and all processes, formulas, tools, ideas, concepts, methodologies, software, know-how, business practices, trade secrets, object code, source code, documentation, information and ideas developed by Seller or its licensors, and all intellectual property rights therein.

Seller Materials means all Materials that are not Contract Materials or Buyer Materials. “Services” means the services that the Seller is to provide under this agreement.

Seller Materials means any and all materials (whether in raw, partially treated or finished, or treated or finished form), samples, models, tooling, dies, jigs, fixtures, plans, designs, specifications, software, drawings, technical information, intellectual property rights, contract rights or other tangible or intangible things required by Seller to supply the Products to Buyer in accordance with these Terms, except Buyer Materials.

If this Agreement and the transaction described herein are terminated for any reason other than a material uncured default by Seller, Purchaser covenants and agrees that it will not further disclose the Seller Materials to any other person or entity, and will return to Seller any Seller Materials received from Seller or others on Seller’s behalf within three (3) Business Days following such termination.
Upon payment in full of the applicable fees, Seller grants Buyer a fully paid-up, limited, non- exclusive, non-assignable, non-transferable, non-sublicensable, perpetual license to use and reproduce, for Buyer’s own internal business operations, the Deliverables (and any Seller Materials solely as provided by Seller as part of the Deliverables).
Seller agrees to indemnify and hold Firm and its agents harmless for any and all claims resulting from use of the Seller Materials under the terms of this license.
If this Agreement and the transaction described herein are terminated for any reason other than a material uncured default by Seller, Purchaser shall return the Seller Materials to Seller within three (3) Business Days following such termination and agrees that it will not disclose the Seller Materials to any other person or entity.

More Definitions of Seller Materials

Seller Materials means all Materials that are not Contract Materials or Buyer Materials.

Seller Materials has the meaning set forth in Section 6.19(c).

Seller Materials has the meaning ascribed thereto in Section 1.5.

Seller Materials means all Marks, Content, Required Product Information, information, data, materials, and other items Seller or its Affiliate provides or makes available to MDG or its contractor(s) or Affiliate(s), including data or materials we obtain from (a) scraping or crawling Seller’s website(s) or (b) third party content providers. Where Seller uses, adopts or has been assigned Marks, Content, Required Product Information, information, data, materials, and other items to its Products (including without limitation where Seller sells Products using the Seller Materials of a third party Seller or MDG on an existing SKU) then such third party Seller Materials will be deemed to be Seller Materials of Seller for the purposes of determining responsibility for such Seller Materials.

Seller Materials means all drawings, reports, specifications, calculations and other similar documents provided by or on behalf of the Seller to Nualight as part of its design in connection with the Goods.
