Senior Living Business definition

Senior Living Business means all of the land, buildings, furniture, fixtures and equipment used to operate certain senior living communities to the extent purchased from the Senior Living Seller.
Senior Living Business means (i) the business of operating, managing or franchising (as a franchisor), or in any other manner supervising the day-to-day conduct of, any Senior Living Facility (other than typical monitoring of an Operator of a Senior Living Facility done by an Investor in such Senior Living Facility) and (ii) operational or management services with respect to health care, therapy, home health care, assisted living, nursing and related medical, residential, supportive and personal care services conducted at or related to any Senior Living Facility; provided that "SENIOR LIVING BUSINESS" does not -------- ---- include activities involving services that are ancillary to a Senior Living Facility (e.g. operation of a gift shop business), so long as such activities do not involve either (x) conduct as an Operator of any such Senior Living Facilities or (y) any of the activities described in clause (ii) above.

  • Except as set forth in Section 4.09(a) of the Company Disclosure Letter, no complaint for sex, age, race or other discrimination claim or any unfair labor practice claim has been brought against the Company (with respect to the BSL Senior Living Business), BSL, CMC or any BSL Partnership which is unresolved as of the date hereof.

  • Section 4.18 of the Company Disclosure Letter sets forth the insurance policies covering the operations of the BSL Senior Living Business in effect as of the date hereof, including the policy numbers, terms, identity of the insurers and amounts and nature of coverage.

  • Neither the Company (with respect to the BSL Senior Living Business) nor BSL nor CMC nor any BSL Partnership has engaged in any material transaction, maintained any bank account or used any corporate funds except for transactions, bank accounts and funds which have been and are reflected in the normally maintained books and records of the Company and its Subsidiaries.

  • None of the Company, BSL, CMC or any ERISA Affiliate has ever maintained, contributed to or been required to contribute to any "welfare benefit fund" as defined in Section 419(e) of the Code in connection with the BSL Senior Living Business.

  • Notwithstanding anything herein to the contrary, no Indemnified Party shall be required to commence any legal proceeding, or otherwise threaten to commence any legal Proceeding, in connection with the requirements under this Section 13.06.
