The Issuer issued the Series 2011A Bonds pursuant to the Original Indenture as amended and supplemented by the Thirteenth Supplemental Indenture of Trust dated as of August 1, 2011 (the “Thirteenth Supplemental Indenture”).
You have asked the Office of County Counsel to render this opinion in connection with the issuance of the County in the name of and on behalf of the District of $ aggregate principal amount of the District’s General Obligations Bonds, Election of 2010, Series 2011A (the “Series 2011A Bonds”), and $ aggregate principal amount of the District’s General Obligation Bonds, Election 2010, Series 2011B (the “Series 2011B Bonds,” together with the Series 2011A Bonds, the “Bonds”).
The Series 2016A Bonds are issued for the purpose of providing sufficient funds to finance the cost of the New Project (as defined in the Indenture), which constitutes a Facility and is included in the System under the Indenture and refunding a portion of the Outstanding Series 2008A Bonds, Series 2009A Bonds and Series 2011A Bonds.
Except to the extent otherwise provided in Section 3.09 or made necessary as a result of a partial redemption, the Series 2011A Bonds and the Series 201lB Bonds shall be issued in fully registered form without coupons numbered from RA-1 or RB-1, respectively, upwards and in Authorized Denominations.
The Series 2011A Bonds are issued in fully registered form in denominations of $1.00 in Original Principal Amount and integral multiples thereof (the “Authorized Denominations”).
