Series N Warrants definition

Series N Warrants means Prepaid Series N Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to five years, in the form of Exhibit B-2 attached hereto. The purchase price per Series N Warrant shall be the Per Share Purchase Price minus $0.01.
Series N Warrants means, collectively, the Series N Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Series N Warrants shall be exercisable immediately and have a term of exercise equal to six (6) months, in the form of Exhibit B-2 attached hereto.
Series N Warrants means, collectively, the Series N Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) of the Purchase Agreement.

Examples of Series N Warrants in a sentence

  • The initial number of shares of Common Stock reserved for exercise of this Warrant and the other Series N Warrants and each increase in the number of shares so reserved shall be allocated pro rata among the Holder and the holders of the other Series N Warrants, based on the number of shares of Common Stock issuable upon exercise of this Warrant (without regard to any limitations in exercise) issued to the Holder on the Issuance Date (the “Authorized Share Allocation”).

  • Any shares of Common Stock reserved and allocated to any Person which ceases to hold any Series N Warrants shall be allocated to the Holder and the remaining holders of Series N Warrants, pro rata based on the shares of Common Stock issuable upon exercise of the Series N Warrants then held by such holders (without regard to any limitations on the exercise of the Series N Warrants).

  • Series C Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 9 months, in the form of Exhibit A attached hereto.

  • Series B Warrants means, collectively, the Series B Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof and the other Series B Warrants contemplated under Section 2.1 to be issued concurrently at the Closing, which Series B Warrants shall be exercisable beginning immediately and have a term of exercise equal to five (5) years, in the form of Exhibit B-2 attached hereto.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years from the initial exercise date, in substantially the form of Exhibit A attached hereto.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Series F Preferred Stock means shares of the Company’s Series F Preferred Stock, par value $0.0001 per share.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Series B-2 Preferred Stock means shares of the Company’s Series B-2 Preferred Stock, par value $0.001 per share.

  • Series A-2 Preferred Stock means shares of the Company’s Series A-2 Preferred Stock, par value $0.0001 per share.
