Series Servicer definition

Series Servicer shall have the meaning set forth in Section 4.3(a) of the Titling Trust Agreement. The Series Servicer with respect to the Series CSA Interest shall be the Servicer.
Series Servicer means Sasfin and its successors-in-title or such other person as may be appointed as Series Servicer in terms of the Series Servicer Agreement;

Examples of Series Servicer in a sentence

  • The Standby Servicing Fee (exclusive of VAT, if any) payable to the Series Standby Servicer, until it becomes the Series Servicer (if at all), for each Due Period shall be an amount equal to one-twelfth of the amount being 0.035% of the month-end balance of the aggregate Net Present Value of all of the Equipment Leases (including Equipment Leases in Default) included in the Series Assets relating to Series 1 on the last day of that Due Period.

  • The Administrative Trustee shall furnish or cause to be furnished to each Series Servicer and the Settlor, within three (3) Business Days after receipt by the Administrative Trustee of request therefor, a list of the names and addresses of the Certificateholders.

  • The Titling Trust for the applicable Series will be a party to, or execute an acknowledgment and acceptance of, each such related Series Servicing Agreement and of the appointment of the related Series Servicer.

  • The Certificateholder of any Series may assign to the related Series Servicer any or all of the rights of such Certificateholder under this Agreement and the related Certificates, including the rights granted to such Certificateholder under Section 4.3(c), to be exercised in connection with such related Series Servicer’s performance of its duties under the related Series Servicing Agreement, and the Titling Trust hereby consents to such assignment.

  • The Certificateholder (or the related Series Servicer on their behalf) shall provide written notice to the Administrative Trustee with respect to assets acquired, assigned, transferred, or reallocated pursuant to Sections 4.3(d), (e) and (f) at such times, in such manner and in such form as may be agreed to from time to time by such Certificateholder (or the related Series Servicer on their behalf) and the Administrative Trustee, which may include any Electronic Means (as defined below).

  • The terms and conditions under which any Series Servicer will perform such functions will be set forth in a servicing agreement appointing such Series Servicer (a “Series Servicing Agreement”), which Series Servicing Agreement may relate to one or more Series Interests.

Related to Series Servicer

  • Sub-Servicer Any Person with which the Master Servicer has entered into a Sub-Servicing Agreement and which meets the qualifications of a Sub-Servicer pursuant to Section 3.02.

  • Servicer means the Master Servicer or the Special Servicer, as the context may require.

  • Master Servicer means the master servicer appointed as provided in the Lead Securitization Servicing Agreement.

  • Special Servicer means the applicable special servicer with respect to the Mortgage Loan appointed as provided in the Lead Securitization Servicing Agreement.

  • Subservicer means any Person that services Receivables on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement that are identified in Item 1122(d) of Regulation AB.

  • Back-Up Servicer means Xxxxx Fargo Bank, National Association and its permitted successors and assigns, as provided in the Indenture.

  • Other Servicer The applicable other “master servicer” under an Other Pooling and Servicing Agreement relating to a Serviced Companion Loan.

  • Servicing Agent means, with respect to an eNote, the field entitled, “Servicing Agent” in the MERS eRegistry.

  • Note A-4 Master Servicer means the master servicer under the Note A-4 PSA.

  • Successor Servicer has the meaning specified in Section 3.07(e) of the Indenture.

  • Note A-2 Master Servicer means the master servicer under the Note A-2 PSA.

  • Primary Servicer Prudential Asset Resources, Inc., or any successor thereto (as primary servicer) appointed as provided in the Primary Servicing Agreement.

  • Non-Lead Master Servicer means the “master servicer” under any Non-Lead Securitization Servicing Agreement.

  • Note A-1 Master Servicer means the master servicer under the Note A-1 PSA.

  • Mortgage Loan Seller Sub-Servicer A Sub-Servicer required to be retained by the Master Servicer by a Mortgage Loan Seller, as listed on Exhibit S to this Agreement, or any successor thereto.

  • FTPS Unit Servicing Agent means FTP Services LLC or any successor FTPS Unit servicing agent appointed as hereinafter provided."

  • Successor Master Servicer The meaning ascribed to such term pursuant to Section 8.02.

  • Interim Servicer The servicer under the Interim Servicing Agreement, or its successor in interest, or any successor to the Interim Servicer under the Interim Servicing Agreement, as therein provided.

  • Lead Securitization Servicing Agreement means (i) the pooling and servicing agreement or other comparable agreement related to the Lead Securitization, and (ii) on and after the date on which the Mortgage Loan is no longer subject to the provisions of the Lead Securitization Servicing Agreement, the “Lead Securitization Servicing Agreement” shall be determined in accordance with the second paragraph of Section 2(a).

  • Note A-3 Master Servicer means the master servicer under the Note A-3 PSA.

  • Non-Lead Securitization Servicing Agreement shall have the meaning assigned to such term in Section 2(b).

  • Master Servicer Servicing Personnel The divisions and individuals of the Master Servicer who are involved in the performance of the duties of the Master Servicer under this Agreement.

  • The Master Servicer has fully furnished and shall continue to fully furnish, in accordance with the Fair Credit Reporting Act and its implementing regulations, accurate and complete information (e.g., favorable and unfavorable) on its borrower credit files to Equifax, Experian and Trans Union Credit Information Company or their successors on a monthly basis; and

  • Replacement Servicer has the meaning assigned to that term in Section 6.01(c).

  • Special Servicer Servicing Personnel The divisions and individuals of the Special Servicer who are involved in the performance of the duties of the Special Servicer under this Agreement.

  • Substitute Servicing Agreement means a servicing agreement that contains servicing provisions which are the same as or more favorable to the Non-Lead Noteholders, in substance, to those in the Servicing Agreement (including, without limitation, all applicable provisions relating to delivery of information and reports necessary for any Non-Lead Securitization to comply with any applicable reporting requirements under the Securities Exchange Act of 1934, as amended) and all references herein to the “Servicing Agreement” shall mean such subsequent servicing agreement; provided, however, that if a Non-Lead Securitization Note is in a Securitization, then a Rating Agency Confirmation shall have been obtained from each Rating Agency with respect to such subsequent servicing agreement.
