Services IP definition

Services IP means any Intellectual Property that is created by or on behalf of the Supplier specifically in relation to or for the purpose of the supply of the Works.
Services IP we mean, in respect of and relating to, directly or indirectly, the Services, all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to xxx for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world. By “IP” we mean copyright, design right, trade names and trademarks, patent (and any applications for the same), confidentiality, know-how, and in each case where so capable, whether registered or unregistered.

  • Such Services may include Managed Services, IP Transit/Transport Services, Cloud, Storage, Disaster Recovery Services and/or Colocation Services.

  • The Contractor must promptly and fully disclose all Services IP to the Client.


More Definitions of Services IP

Services IP means all IP Rights created, conceived, developed or reduced to practice in the course of the: performance of this Agreement; and/or the provision of the Services.
Services IP has the meaning given in clause 9.1;
Services IP means any IP developed in the course of and as a direct result of carrying out the Services.
Services IP means any IP created by RNL in the performance of this Agreement for Client for the exclusive, non-commercial, non-profit use by Client for its own direct benefit in connection with this Agreement. RNL grants to Client a perpetual, royalty-free, non-exclusive, worldwide license to the Service IP, but not derivatives thereof, nor of any other RNL IP, for Client’s, and Client’s affiliate’s, limited, sole and exclusive, non-commercial, non-profit use of the Services IP for their own benefit (and not for the benefit of other non-affiliated third-parties). The parties acknowledge that RNL is willing to use the RNL IP for the benefit of Client, but does not by this Agreement, forfeit or lose any right, title or control to, over or in any RNL IP or derivatives thereof. Except for the limited license granted above, or as otherwise expressly stated and described on a SOW, RNL does not and will not provide its services or RNL IP on a “work for hire,” or “work made for hire,” basis, and Client acknowledges the same. Unless otherwise expressly provided in a SOW, each party agrees that it will not, directly or indirectly, reverse engineer, decompile, disassemble or otherwise attempt to derive source code or other trade secrets from any IP owned by the other. Client represents that it will not reproduce, disclose or use RNL IP for any purpose, or in any manner, other than as provided in this Agreement or authorized in writing in advance by RNL. RNL represents and warrants that it will not reproduce, disclose or use Client IP for any purpose, or in any manner, other than in the performance of this Agreement or as provided in this Agreement or as authorized in writing in advance by Client.
Services IP means any and all Intellectual Property (i) in or related to the Services;
Services IP shall have the meaning given in Clause 8.4(c);
