Shareholder Approval Matters definition

Shareholder Approval Matters has the meaning set forth in Section 5.3(a).
Shareholder Approval Matters means those matters which may require approval of the Existing Shareholders in order to implement the CBCA Plan and the Transaction, including the Federal Continuance, the Stated Capital Reduction (if necessary), the Share Consolidation (to the extent it is not a step in the CBCA Plan), the MIP (as each such term is defined in the Term Sheet) and the CBCA Plan itself, along with, if and to the extent required by Law (including TSX requirements), the approval of the New Financing including the shares issuable upon conversion of the New 1.5 Lien Notes.
Shareholder Approval Matters means the matters set forth in Section 4 of the Stockholders Agreement and shall also include the election of the Crestline Designated Director (as such term is defined in the Stockholders Agreement) to the Board.

Shareholder Approval Matters means the matters approved by shareholders of Tova at the Tova Meeting, including: (a) setting the number of directors of Tova at five (5); (b) electing an interim board of directors of Tova that will hold office until the completion of the Qualifying Transaction; (c) the appointment of MNP LLP as auditors for the ensuing year; (d) approving and ratifying the Resulting Issuer Option Plan; (e) the Consolidation; and (f) the Name Change.

  • Competition Act Approval means, in respect of the Arrangement, the occurrence of one of the following:

  • Board Approval has the meaning set out in Section 2.2(a)(ii);

  • Required Approval has the meaning specified in Section 2.2(b).

  • Disclosure Statement Approval Order means the Final Order approving, among other things, the adequacy of the Disclosure Statement pursuant to section 1125 of the Bankruptcy Code.

  • Price Approval means, in any country where a Governmental Authority authorizes reimbursement for, or approves or determines pricing for, pharmaceutical products, receipt (or, if required to make such authorization, approval or determination effective, publication) of such reimbursement authorization or pricing approval or determination (as the case may be).

  • FCC Approval means the FCC’s grant of the FCC Applications; provided that the possibility that an appeal, request for stay, or petition for rehearing or review by a court or administrative agency may be filed with respect to such grant, or that the FCC may reconsider or review such grant on its own authority, shall not prevent such grant from constituting FCC Approval for purposes of the Plan.
