Sharing Ratio definition

Sharing Ratio means, subject in each case to adjustments in accordance with this Agreement or in connection with Dispositions of Membership Interests, (a) in the case of a Member executing this Agreement as of the date of this Agreement or a Person acquiring such Member’s Membership Interest, the percentage specified for that Member as its Sharing Ratio on Exhibit A and (b) in the case of Membership Interests issued pursuant to Section 3.1, the Sharing Ratio established pursuant thereto; provided, however, that the total of all Sharing Ratios shall always equal 100%.

Sharing Ratio means, with respect to any Owner, the ratio (expressed as a percentage) specified on Schedule A attached hereto.

Sharing Ratio with respect to any Member means the percentage set forth on Exhibit A, subject to change as herein provided.

Examples of Sharing Ratio in a sentence

• An Assignee has the right to be admitted to the Company as a Member, with the Membership Interests (and attendant Sharing Ratio) so transferred to such Assignee, only if (a) the Member making the Disposition (a “Disposing Member”) has granted the Assignee either (i) all, but not less than all, of such Disposing Member’s Membership Interests or (ii) the express right to be so admitted and (b) such Disposition is effected in strict compliance with this Article IV.

• Notwithstanding the foregoing, if during any taxable year there is a change in any Member's Sharing Ratio, the Members agree that their allocable shares of such items for the taxable year shall be determined on any method determined by the Management Committee to be permissible under Code Section 706 and the related Treasury Regulations to take account of the Members' varying Sharing Ratios.

• Notwithstanding the foregoing, if during any taxable year there is a change in any Member’s Sharing Ratio, the Members agree that their allocable shares of such items for the taxable year shall be determined on any method determined by the Board to be permissible under Code Section 706 and the related Treasury Regulations to take account of the Members’ varying Sharing Ratios.

• An Assignee has the right to be admitted to the Company as a Member, with the Membership Interest (and attendant Sharing Ratio) so transferred to such Assignee, only if (A) the Disposing Member making the Disposition has granted the Assignee either (I) the Disposing Member's entire Membership Interest or (II) the express right to be so admitted; and (B) such Disposition is effected in strict compliance with this Section 3.03.

More Definitions of Sharing Ratio

Sharing Ratio. With respect to any Member, a fraction (expressed as a percentage), the numerator of which is the total of the Member’s Capital Account and the denominator of which is the total of all Capital Accounts of all Members (including Substituted Members) and Assignees.

Sharing Ratio. With respect to a Common Stock Equivalent, the ratio of (a) the distribution payable upon the liquidation and distribution of the Company on one share of such Common Stock Equivalent to (b) the distribution payable upon the liquidation and distribution of the Company on one share of Class A Common Stock.

Sharing Ratio means for any Member, at a given time, the proportion that such Member’s Capital Contributions bear to the total Capital Contributions of all Members as of the date of such determination.

Sharing Ratio means the percentage ownership interest of a Member as stated on Schedule 1 attached hereto.
