Sharing Ratio definition

Sharing Ratio means, subject in each case to adjustments in accordance with this Agreement or in connection with Dispositions of Membership Interests, (a) in the case of a Member executing this Agreement as of the date of this Agreement or a Person acquiring such Member’s Membership Interest, the percentage specified for that Member as its Sharing Ratio on Exhibit A and (b) in the case of Membership Interests issued pursuant to Section 3.1, the Sharing Ratio established pursuant thereto; provided, however, that the total of all Sharing Ratios shall always equal 100%.
Sharing Ratio means, with respect to any Owner, the ratio (expressed as a percentage) specified on Schedule A attached hereto.
Sharing Ratio with respect to any Member means the percentage set forth on Exhibit A, subject to change as herein provided.

Examples of Sharing Ratio in a sentence

  • The Project is located as specified in Section 2 of the Appendix and the currency used in the calculation of the capital contribution of the Musharakah, the Profit Sharing Ratio and any projected return on investment thereof will be in the Indonesian Rupiah (IDR), the local currency where the Project is located.

  • An Assignee has the right to be admitted to the Company as a Member, with the Membership Interests (and attendant Sharing Ratio) so transferred to such Assignee, only if (a) the Member making the Disposition (a “Disposing Member”) has granted the Assignee either (i) all, but not less than all, of such Disposing Member’s Membership Interests or (ii) the express right to be so admitted and (b) such Disposition is effected in strict compliance with this Article IV.

More Definitions of Sharing Ratio

Sharing Ratio. With respect to any Member, a fraction (expressed as a percentage), the numerator of which is the total of the Member’s Capital Account and the denominator of which is the total of all Capital Accounts of all Members (including Substituted Members) and Assignees.
Sharing Ratio. With respect to a Common Stock Equivalent, the ratio of (a) the distribution payable upon the liquidation and distribution of the Company on one share of such Common Stock Equivalent to (b) the distribution payable upon the liquidation and distribution of the Company on one share of Class A Common Stock.
