Significant Borrower definition

Significant Borrower means any Political Subdivision whose outstanding aggregate principal amount of bonds issued by such Political Subdivision and held in the Portfolio Account comprises at least twenty percent (20%) in aggregate principal amount of all Political Subdivision Bonds held in the CWSRF Portfolio Account or the DWSRF Portfolio Account, as the case may be.

Significant Borrower means any Political Subdivision whose outstanding aggregate principal amount of bonds issued by such Political Subdivision and held, on and after April 1, 2018, in the Portfolio Account comprises at least twenty percent (20%) in aggregate principal amount of all Political Subdivision Obligations held in the Portfolio Account.

Significant Borrower means any Political Subdivision whose outstanding aggregate Political Subdivision Obligations with a common security pledged to the payment thereof issued or incurred by such Political Subdivision and held, on and after April 1, 2023, in the Portfolio Account comprises at least twenty percent (20%) in aggregate principal amount of all Political Subdivision Obligations held in the Portfolio Account.

• The Audit Committee shall review, for each Significant Borrower transaction origination, a Closing Memorandum which describes the proposed transaction, the proposed loan or investment request (including amount, term and interest rate), proposed collateral, project overview, engineering due diligence and exit strategy analysis.

• If not provided as part of Annual Financial Information by the date required by Section 2.3(a) hereof, the State Water Board and any Significant Borrower, as applicable, shall provide to the Dissemination Agent the Audited Financial Statements, when and if available, to the MSRB.

• Annual Financial Information and Significant Borrower Annual Financial Information may each be provided in one document or multipledocuments, and at one time or in part from time to time, and may be provided by delivery of an official statement which includes such information.

More Definitions of Significant Borrower

Significant Borrower in respect of a company, means –

Significant Borrower means a Recipient under Pledged Project Obligations that have an aggregate unpaid principal amount equal to or greater than twenty percent (20%) of the aggregate unpaid principal amount of all Pledged Project Obligations.

Significant Borrower means (i) a natural person who has indebtedness for money borrowed from CIBC or a CIBC subsidiary, other than a loan secured by a mortgage on the person’s principal residence, the total principal of which exceeds 1/50 of 1% of CIBC’s regulatory capital; or (ii) an entity that has indebtedness for money borrowed from CIBC or a CIBC subsidiary, the total principal of which exceeds the greater of 1/20th of 1% of CIBC’s regulatory capital and 25% of the value of the entity’s assets.
