In no event will the SMS Fee (i) increase more frequently than annually, and (ii) increase more than five percent (5%) over the previous year’s fees.
At the time of entering into this Agreement, the SMS Fee is equal to $0.15, inclusive of taxes payable by the user.

Clients pay the RPCP Fee or SMS Fee, as applicable, by check made payable to LPL Financial LLC.
Client agrees that, at any time during the Term, PayByPhone may charge any users who opt into these services a fee (“SMS Fee”) for each SMS Communication sent by PayByPhone with respect to an initial parking session or extension of a parking session and may set the amount of the SMS Fee with reference to the cost PayByPhone incurs in delivering this optional service.
LPL enters into an agreement with such referral agents and pays them a portion of the RPCP Fee or SMS Fee, as applicable.
Clients should understand that the RPCP Fee or SMS Fee, as applicable, that client negotiates with IAR may be higher than the fees charged by other investment advisors or consultants for similar services.
