SOC 2 Report definition

SOC 2 Report means a confidential Service Organization Control (SOC) 2 Report (or a comparable report) on 4me’s systems examining logical security controls, physical security controls, and privacy controls, as produced by 4me’s third-party auditor in relation to the audited Services.

SOC 2 Report means a confidential Service Organization Control (SOC) 2 Report (or a comparable report) on Google’s systems examining logical security controls, physical security controls, and system availability, as produced by Google’s Third Party Auditor in relation to the Audited Services.

SOC 2 Report means a confidential Service Organization Control (SOC) 2 report on Algolia’s systems examining logical security controls, physical security controls, and system availability, as produced by Algolia’s independent third-party auditor in relation to the Services.

• The Contractor shall ensure that the audit scope of each year’s SOC 2 Report engagement shall accommodate these changes by including in the SOC 2 Report all appropriate controls related to the current environment supporting the Information Functions and/or Processes, including those controls required by the Contract.

• The Contractor shall provide to the Contract Monitor, within 30 calendar days of the issuance of each SOC 2 Report, a complete copy of the final SOC 2 Report(s) and a documented corrective action plan addressing each audit finding or exception contained in the SOC 2 Report.

• The audit scope of each year’s SOC 2 Report may need to be adjusted (including the inclusion or omission of the relevant trust services principles of Security, Availability, Confidentiality, Processing Integrity, and/or Privacy) to accommodate any changes to the Contractor’s and any relevant subcontractor’s environment since the previous SOC 2 Report.

• The Contractor and any relevant subcontractor shall ensure that the audit scope of each year’s SOC 2 Report engagement shall accommodate these changes by including in the SOC 2 Report all appropriate controls related to the current environment supporting the Information Functions and/or Processes, including those controls required by the Contract.

• The Contractor shall provide to the Contract Monitor, within 30 calendar days of the issuance of each SOC 2 Report, a documented corrective action plan which addresses each audit finding or exception contained in a SOC 2 Report.

• The SOC 2 Report shall include work performed by subcontractors that provide essential support to the Contractor for the Information Functions and/or Processes for the services provided to the Department under the Contract.

• The audit scope of each year’s SOC 2 Report may need to be adjusted (including the inclusion or omission of the relevant trust services criteria of Security, Availability, Processing Integrity, Confidentiality, and Privacy) to accommodate any changes to the environment since the last SOC 2 Report.

Subprocessors means third parties authorized under these Terms to have logical access to and process Customer Data in order to provide parts of the Cloud Services and Support. Term means the period from the Terms Effective Date until the end of Google’s provision of the Cloud Services, including, if applicable, any period during which provision of the Cloud Services may be suspended and any post-termination period during which Google may continue providing the Cloud Services for transitional purposes. Terms Effective Date means the date on which Customer accepted or the parties otherwise agreed to these Terms.
