Special Funding Amount means the amount on deposit in the Special Funding Account. "Standard & Poor's" shall mean Standard & Poor's Ratings Group or its successor. "Successor Servicer" shall have the meaning specified in subsection 10.2(a). "Supplement" shall mean, with respect to any Series, a supplement to this Agreement, executed and delivered in connection with the original issuance of the Investor Securities of such Series pursuant to Section 6.3, and, with respect to any Participation Interest, an amendment to this Agreement executed pursuant to Section 13.1, and, in either case, including all amendments thereof and supplements thereto. "Supplemental Security" shall have the meaning specified in subsection 6.3(b). "Supplemental Security Supplement" shall have the meaning specified in subsection 6.3(b). "Tax Opinion" shall mean, with respect to any action, an Opinion of Counsel to the effect that, for federal income tax purposes, (a) such action will not adversely affect the tax characterization as debt of the Investor Securities of any outstanding Series or Class that was characterized as debt at the time of its issuance, (b) following such action the Trust will not be deemed to be an association (or publicly traded partnership) taxable as a corporation, (c) such action will not cause or constitute an event in which gain or loss would be recognized by any Investor Securityholder and (d) except as is otherwise provided in a Supplement, in the case of subsection 6.3(b)(vi), the Investor Securities of the Series or class thereof established pursuant to such Supplement will be properly characterized as debt. "Termination Notice" shall have the meaning specified in subsection 10.1(d). "Termination Proceeds" shall have the meaning specified in subsection 12.2(c). "Transfer Agent and Registrar" shall have the meaning specified in Section 6.4. "Transfer Date" shall mean the Business Day immediately preceding each Distribution Date. "Transfer Restriction Event" shall have the meaning specified in Section 2.11.

Related to Special Funding Amount

  • Pre-Funding Amount With respect to any date, the amount on deposit in the Pre-Funding Account.

  • Excess Funding Amount means the amount on deposit in the Excess Funding Account.

  • Aggregate Senior Percentage With respect to any Distribution Date, the fraction, expressed as a percentage, the numerator of which is equal to the aggregate Class Certificate Balance of the Senior Certificates immediately prior to such Distribution Date and the denominator of which is the aggregate Stated Principal Balance of all the Mortgage Loans as of the Due Date in the month preceding the month of such Distribution Date (after giving effect to Principal Prepayments in the Prepayment Period related to that prior Due Date).

  • Advance Amount means with respect to Class A Advances, the Class A Advance Amount and, with respect to Class B Advances, the Class B Advance Amount.

  • Cash Contribution Amount means the aggregate amount of cash contributions made to the capital of the Company described in the definition of “Contribution Indebtedness.”

  • Reinvestment Prepayment Amount with respect to any Reinvestment Event, the Reinvestment Deferred Amount relating thereto less any amount expended prior to the relevant Reinvestment Prepayment Date to acquire or repair assets useful in the Borrower’s business.

  • Liquidity Amount means, as of any date of determination, the sum of (a) the Aggregate Borrowing Availability as of such date and (b) the Unrestricted Cash Amount as of such date.

  • Investment Percentage means a percentage established for each Partner on the Partnership's books as of the first day of each Fiscal Period. The Investment Percentage of a Partner for a Fiscal Period will be determined by dividing the balance of the Partner's Capital Account as of the commencement of the Fiscal Period by the sum of the Capital Accounts of all of the Partners as of the commencement of the Fiscal Period. The sum of the Investment Percentages of all Partners for each Fiscal Period will equal 100%.

  • Investment Amount means the dollar amount to be invested by Investor to purchase Put Shares with respect to any Put as notified by the Company to Investor in accordance with Section 2.2.
