Special Party definition

Special Party. , means any of the following persons which are required to be given notice pursuant to Tribal Code or Federal Law: attorney general; foreign consul; a county or state department of social services; guardian; guardian ad litem; attorney of record of an interested party; or an attorney in fact or agent having durable power of attorney.

Special Party means any one of Orphan, AFFILIATES of Orphan, SUBLICENSEES, AFFILIATES OF SUBLICENSEES, or any PERSON enjoying a special course of dealing with Orphan, AFFILIATES of Orphan, SUBLICENSEES, or AFFILIATES OF SUBLICENSEES. By way of example but not limitation, a "special course of dealing" includes co-marketing arrangements between Orphan and a third party wherein the third party may SELL LICENSED PRODUCTS, distribution arrangements with third parties in which Orphan or its AFFILIATE shares, directly or indirectly, in the proceeds from such distributor's SALES of LICENSED PRODUCT, supply contracts in which Orphan agrees with a third party to supply or manufacture LICENSED PRODUCTS for SALE by the third party under such third party's name or xxxx, arrangements under which a third party will SELL LICENSED PRODUCTS under a private labeling arrangement with Orphan, or barter arrangements in which Orphan exchanges LICENSED PRODUCTS for other products in kind. A distributor of LICENSED PRODUCTS under Orphan's name or xxxx shall not be considered a SPECIAL PARTY if neither Orphan nor its AFFILIATE shares, directly or indirectly, in the proceeds from such distributor's SALES of such LICENSED PRODUCT.

Special Party means a party who is a child or who is or appears to be mentally incapable for the purposes of the Substitute Decisions Act, 1992 in respect of an issue in the case and who, as a re- sult, requires legal representation, but does not include a child in a custody, access, child protec- tion, adoption or child support case.

• Notwithstanding any provision hereof to the contrary, in no circumstances shall a shareholder, limited partner, director, officer, employee or agent ("Special Party") of a party hereto or of a Special Party of a party hereto be personally liable for any of the obligations of such party hereto under this Agreement except to the extent, if any, provided in any separate agreement now or hereafter executed and delivered by such Special Party.

• Notwithstanding any provision hereof to the contrary, in no circumstances shall a member, shareholder, partner, director, officer, employee or agent ("Special Party") of a Member (direct or indirect) or of a Special Party of a Member hereto (direct or indirect) be personally liable for any of the obligations of such Member under this Agreement except to the extent, if any, provided in any separate agreement now or hereafter executed and delivered by such Special Party.

• The Special Party that is a party to the Special Party Transfer shall be admitted as a Partner upon the execution by such Special Party of a Special Party Counterpart.

• Each affiliation and other agreement between the Special Party and its Affiliates, on the one hand, and the Partnership, on the other hand, as in effect on the date of admission of the Special Party as a Partner shall become Approved Agreements.

Special Party means any of the following persons

Special Party. Any of the parties identified as such in a writing delivered by the parties hereto prior to the execution of this Agreement.

Special Party means (i) any corporation, company, or other entity in which IDTEK owns or controls at least fifty percent (50%) of the stock entitled to vote in election of members of the Board of Directors, or (ii) any corporation, company, or other entity which owns or controls at least fifty percent (50%) of IDTEK's voting stock.

The purpose of the Company is to (i) exercise predevelopment activities with respect to the Project and (ii) directly (or indirectly through ownership of an interest in a Project Partnership) acquire, obtain, own, manage, develop, operate, finance, sell and otherwise deal with the Project and in all respects act as owner (or as owner of ownership of an interest in a Project Partnership that is the owner) thereof, upon and subject to the terms and conditions of this Agreement and any Project Partnership Agreement. 2.2

Special Party means an Affiliate of Buyer or Buyer's licensee, or any other person enjoying a special course of dealing with Buyer, an Affiliate of Buyer or Buyer's licensee. A "special course of dealing" shall include co-marketing or other arrangements with a third party wherein the third party sells a product, process or service and Buyer, an Affiliate of Buyer or Buyer's licensee receives additional compensation based on the ultimate sale of the product, process or service; arrangements under which a third party sells a product, process or service under a private labeling arrangement; and barter arrangements in which Buyer, an Affiliate of Buyer or Buyer's licensee exchanges a product, process or service with a third party for another a product, process or service in-kind.
