Specified Key Employee definition

Specified Key Employee means an Eligible Employee who, at the time of his or her Separation from Service is a “specified employee” as defined in Code Section 409A(a)(2)(B)(i). Specified Key Employees will be identified by the Company according to procedures adopted by the Board or the Compensation & Benefits Committee applicable to all plans and agreements sponsored by the Company that are subject to Code Section 409A.
Specified Key Employee means the Key Employee identified as the “Specified Key Employee” on Schedule 1.3.
Specified Key Employee means a Participant or Vested Former Participant who, at the time of his or her distribution, is a “specified employee” as defined in Code Section 409A(a)(2)(B)(i). Specified Key Employees will be identified as of the 12-month period ending on each December 31 (the “Identification Date”), and will be considered Specified Key Employees for the 12-month period beginning on April 1 of the year following the Identification Date and ending on the following March 31.

Examples of Specified Key Employee in a sentence

  • Notwithstanding anything herein to the contrary, to the extent payments provided for in Section 4(iii) are subject to Code Section 409A, if you are determined by the Company to be a Specified Key Employee, such amounts otherwise payable to you upon your Separation from Service shall be accumulated and paid to you on the date immediately after the expiration of the six-month period following your Separation from Service.

  • If the Participant is a Specified Key Employee on the date the Participant is Separated from Service, payment will occur no earlier than 6 months following the date the Participant is Separated from Service.

  • An Employee who is: (i) one of the highest paid 50 officers of the Company with annual compensation over $135,000; (ii) a 5% owner; or (iii) a 1% owner earning more than $150,000 (or such higher dollar amounts for subsequent years as provided under Code Section 416(i)); at any time during the 12 month period prior to September 30th, will be deemed to be a Specified Key Employee for the 12 month period commencing the following January 1st.

  • If the Participant is a Specified Key Employee on the date the Participant is Separated from Service, the first installment (as described in this paragraph) will be paid no earlier than 6 months following the date the Participant is Separated from Service.

  • Non-Key Employee means any Employee who is not a Key Employee.

  • Key Employee means any executive-level employee (including, division director and vice president-level positions) as well as any employee who, either alone or in concert with others, develops, invents, programs, or designs any Company Intellectual Property (as defined in the Purchase Agreement).

  • Specified Employee means a key employee (as defined in Section 416(i) of the Code without regard to paragraph 5 thereof) of the Company if any stock of the Company is publicly traded on an established securities market or otherwise.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Qualified individual with a disability means an individual with a disability who satisfies the requisite skill, experience, education and other job-related requirements of the employment position such individual holds or desires, and who, with or without reasonable accommodation, can perform the essential functions of such position.

  • Eligible casual employee means a casual employee employed during a period of at least 12 months, either:

  • Excluded Employee means an employee as defined in section 3527, subd. (b) of the Government Code (Ralph C. Dills Act) except those excluded employees who are designated managerial pursuant to section 18801.1 of the Government Code.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Casual Employee means an employee who has no set hours or days of work and who is normally asked to work as and when required.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • Active Employee means a contributing member of the TRS who is employed by a public school and is not entitled to coverage under a plan provided under Insurance Code Chapter 1551 (Texas Em- ployees Group Benefits Act) or 1601 (State University Employees Uniform Insurance Benefits Act).

  • Qualified employment position means a permanent full-time

  • Gainful employment means paid employment for not less than 30 hours in each week for a period of not less than 12 months;

  • Affiliated employee means any individual employed by a recipient who receives compensation directly from government assistance or a contract with the District of Columbia government, including any employee of a contractor or subcontractor of a recipient who performs services pursuant to government assistance or a contract. The term “affiliated employee” does not include those individuals who perform only intermittent or incidental services with respect to the government assistance or contract, or who are otherwise employed by the contractor, recipient or subcontractor.

  • Qualifying Termination of Employment means a Participant’s Termination of Employment (i) by the Company without Cause or (ii) by the Participant with or without Good Reason or by reason of Retirement.

  • Current Employee has the meaning set forth in Section 7.8(a).

  • Managerial employee means an employee of the State of Oregon or a public university

  • Restricted Employee means any person who was a director, employee or consultant of the Company at any time within the Relevant Period who by reason of that position and in particular his seniority and expertise or knowledge of Confidential Information or knowledge of or influence over the clients, customers or contacts of the Company is likely to cause damage to the Company if he were to leave the employment of the Company and become employed by a competitor of the Company;

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Covered Employee means an employee who is a “Covered Employee” within the meaning of Section 162(m) of the Code.

  • Separates from Service or “Separation from Service” means the Participant’s termination of service as a non‑employee director and as an employee of UGI for any reason other than death and shall be determined in accordance with section 409A of the Code.

  • Specified US Person means (i) a US citizen or resident individual, (ii) a partnership or

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.
