Specified Material definition

Specified Material means any reports, plans, documents, information, data or other material and associated Intellectual Property (whether developed by or on behalf of Project Operator, its officers, employees, Subcontractors or agents) that: Project Operator (or its Related Bodies Corporate) provides or grants, or is required to provide or grant, to the Commonwealth under or in connection with this agreement or the Tender; or is copied or derived at any time from the material referred to in paragraph (a).
Specified Material means stone including stone suitable for dimension stone, labradorite, chert, sand, gravel, clay, topsoil, soil, shale, marl, peat and peat ▇▇▇▇ when these substances are used for construction or agricultural purposes only;
Specified Material collectively and individually means those items of Material from time to time designated by the Board of Directors as being available for free use. The items of Specified Materials made available to some categories of Members as compared to others, shall be as from time to time designated by the Board of Directors. The terms applicable to the access to and use of Material are as follows:

Examples of Specified Material in a sentence

  • Since December 31, 2020, no Specified Material Adverse Effect has occurred.

  • Since December 31, 2019, no Specified Material Adverse Effect has occurred.

  • Moral rights If any Specified Material that is a copyright work contains information over which a third party (including Project Operator’s officers, employees, Subcontractors or agents) has Moral Rights, then Project Operator must ensure that it has in place all necessary consents sufficient to allow the Commonwealth to deal with the Specified Material in accordance with the licence granted in clause 29.2 (“Licence of Specified Material”) and any Project Document.

  • Project Operator must obtain a licence of any material contained in the Specified Material in respect of which the intellectual property rights are owned by a person other than the Commonwealth, Project Operator or any Related Body Corporate of Project Operator (“Third Party”) that enables Project Operator to grant to the Commonwealth the licence required by paragraph (a).

  • For purposes of clarification, Pinnacle agrees that if necessary in order to obtain the Required Governmental Consents (as defined in Section 6.01(c)), Pinnacle will (A) sell, or agree to sell, hold or agree to hold separate, or otherwise dispose, or agree to dispose of, the Specified Assets or (B) conduct or agree to conduct its business in a particular manner unless such conduct has had or would reasonably be expected to result in a Specified Material Adverse Effect.

  • As of the Restatement Date, no Default, Event of Default, Event of Loss, Specified Significant Environmental Event or Specified Material Environmental Violation has occurred and is continuing.

  • In the case of the obligation of Pinnacle, all Required Governmental Consents that have been obtained shall have been obtained without the imposition of any term, condition or consequence the acceptance of which would, individually or in the aggregate, reasonably be expected to have or result in a Specified Material Adverse Effect.

  • Since December 31, 2019 no Specified Material Adverse Effect has occurred.

  • If any Specified Material that is a copyright work contains information over which a third party (including the Operator's Associates) has 'Moral Rights' (as defined in the Copyright Act 1968 (Cth)), the Operator must ensure that it has in place all necessary consents sufficient to allow the Commonwealth to deal with the Specified Material in accordance with any Project Document.

  • There shall not have occurred and be continuing any Default, Event of Default, Event of Loss, Specified Significant Environmental Event or Specified Material Environmental Violation.


More Definitions of Specified Material

Specified Material means any material, substance, product or article specified in the Schedule;
Specified Material means (A) any Third Party Product and (B) any collagen based product, intermediate, or finished material (including collagen components of the products of Cohesion Corporation) other than recombinant human collagen based products and materials (i) manufactured (commercially or by the Investigational Formulation Department) by Collagen prior to January 1, 1999 or (ii) for which Technologies initially submits a purchase order based upon Specifications mutually agreed to by the parties prior to January 1, 1999.

Related to Specified Material

  • Specified Materials means the basic materials required on the Site for the execution and completion of Works, which shall include fuel and lubricants; cement; aggregates; steel reinforcement; timber and gravel.

  • Licensed Material means radioactive material received, possessed, used, transferred or disposed of under a general or specific license issued by the Agency.

  • Received Material means records, software and other material, whether complete or not, that, as a result of this Agreement, are received by the Contractor or a Subcontractor from the Province or any other person;

  • Harvested Material means the grain or fodder from crops of the Licensed Varieties grown from Seed or Retained Seed.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.
